بعد الاطلاع على النظام الأساسي للدولة الصادر بالمرسوم السلطاني رقم ١٠١ / ٩٦،
وعلى الاتفاقية بين سلطنة عمان وجمهورية ألمانيا الاتحادية لتجنب الازدواج الضريبي بالنسبة للضرائب على الدخل وعلى رأس المال الموقعة بتاريخ ٢٦ رمضان ١٤٣٣هـ الموافق ١٥ أغسطس ٢٠١٢م،
وبناء على ما تقتضيه المصلحة العامة.

المادة الأولى

التصديق على الاتفاقية المشار إليها وفقا للصيغة المرفقة.

المادة الثانية

ينشر هذا المرسوم في الجريدة الرسمية، ويعمل به من تاريخ صدوره.

اتفاقية بين سلطنة عمان وجمهورية ألمانيا الاتحادية لتجنب الازدواج الضريبي بالنسبة للضرائب على الدخل وعلى رأس المال

إن سلطنة عمان وجمهورية ألمانيا الاتحادية، رغبة منهما في إبرام اتفاقية لغرض تجنب الازدواج الضريبي ومنع التهرب الضريبي بالنسبة للضرائب على الدخل وعلى رأس المال، قد اتفقتا على ما يلي:

المادة الأولى
النطاق الشخصي

تطبق هذه الاتفاقية على الأشخاص المقيمين في إحدى الدولتين المتعاقدتين أو في كلتيهما.

المادة الثانية
الضرائب التي تتناولها الاتفاقية

١- تسري هذه الاتفاقية على الضرائب على الدخل وعلى رأس المال التي تفرض نيابة عن دولة متعاقدة أو Land أو تقسيم سياسي أو سلطة محلية أيا كانت طريقة فرض هذه الضرائب.

٢- تعتبر من قبيل الضرائب على الدخل وعلى رأس المال، جميع الضرائب المفروضة على الدخل الإجمالي أو رأس المال الإجمالي أو على عناصر الدخل أو عناصر رأس المال بما في ذلك الضرائب على الأرباح الناشئة من التصرف في الأموال الثابتة أو المنقولة أو الضرائب على المبالغ الإجمالية للأجور والرواتب المدفوعة من قبل المشروعات وكذلك الضرائب على الزيادة في قيمة رأس المال.

٣- تشمل الضرائب المفروضة حاليا والتي تسري عليها الاتفاقية بصفة خاصة ما يأتي:

أ- بالنسبة لجمهورية ألمانيا الاتحادية:

١- ضريبة الدخل.

٢- ضريبة الشركات.

٣- ضريبة التجارة.

٤- ضريبة رأس المال.

وتشمل أيضا الاضافات المفروضة عليها.
(ويشار إليها فيما بعد بـ “الضريبة الألمانية”)

ب- بالنسبة لسلطنة عمان:

ضريبة الدخل.

(ويشار إليها فيما بعد بـ “الضريبة العمانية”)

٤- تسري هذه الاتفاقية أيضا على أي ضرائب مماثلة أو مشابهة بصفة جوهرية لتلك الضرائب، والتي يتم فرضها بعد تاريخ التوقيع على هذه الاتفاقية، سواء بالإضافة للضرائب الحالية أو لتحل محلها. وتقوم السلطتان المختصتان في الدولتين المتعاقدتين بإخطار بعضهما البعض بأي تعديلات جوهرية في قوانين الضرائب الخاصة بهما.

المادة الثالثة
تعريفات عامة

١- لأغراض هذه الاتفاقية، وما لم يقتض النص غير ذلك:

أ- يقصد بعبارة “سلطنة عمان” إقليم سلطنة عمان والجزر التابعة لها، ويشمل ذلك المياه الإقليمية وأي منطقة خارج المياه الإقليمية يجوز لسلطنة عمان أن تمارس عليها، وفقا للقانون الدولي وقوانين سلطنة عمان، حقوق سيادية وولاية في مفهوم الفقرة الفرعية (أ) من الفقرة (١) من المادة (٥٦) من اتفاقية الأمم المتحدة لقانون البحار المؤرخة في ١٠ / ١٢ / ١٩٨٢ فيما يتعلق باستكشاف واستغلال الموارد الطبيعية في قاع البحر وباطن أرضه وفي المياه التي تعلوه.

ب- يقصد بعبارة “جمهورية ألمانيا الاتحادية” إقليم جمهورية ألمانيا الاتحادية، وكذلك منطقة قاع البحر وباطن أرضه والعامود المائي العلوي المتاخمة للبحر الإقليمي بالقدر الذي يجوز فيه لجمهورية ألمانيا الاتحادية أن تمارس هناك، وفقا للقانون الدولي ولتشريعها الوطني، حقوق سيادية وولاية في مفهوم الفقرة الفرعية (أ) من الفقرة (١) من المادة (٥٦) من اتفاقية الأمم المتحدة لقانون البحار المؤرخة في ١٠ / ١٢ / ١٩٨٢ وولاية وفقا للقانون الدولي ولتشريعها الوطني لغرض استكشاف واستغلال وإدارة الموارد الطبيعية الحية وغير الحية والحفاظ عليها.

ج- يقصد بعبارتي “دولة متعاقدة” و”الدولة المتعاقدة الأخرى” سلطنة عمان أو جمهورية ألمانيا الاتحادية، حسبما يقتضيه النص.

د- يقصد بكلمة “شخص” أي شخص طبيعي وأي شركة وأي مجموعة أخرى من الأشخاص.

هـ- يقصد بكلمة “الشركة” أي شخص اعتباري أو أي كيان يعامل كشخص اعتباري لأغراض الضريبة.

و- يقصد بعبارتي “مشروع دولة متعاقدة” و”مشروع الدولة المتعاقدة الأخرى” على التوالي، مشروع يديره مقيم من دولة متعاقدة، أو مشروع يديره مقيم من الدولة المتعاقدة الأخرى.

ز- يقصد بعبارة “النقل الدولي” أي نقل بسفينة أو طائرة يديره مشروع دولة متعاقدة باستثناء النقل بالسفينة أو الطائرة بين أماكن تقع فقط في الدولة المتعاقدة الأخرى.

ح- يقصد بكلمة “مواطن”:

١- بالنسبة لجمهورية ألمانيا الاتحادية:
أي ألماني بالمعنى الوارد في القانون الأساسي لجمهورية ألمانيا الاتحادية وأي شخص قانوني أو شركة تضامن أو اتحاد يستمد المركز الخاص به من القوانين المعمول بها في جمهورية ألمانيا الاتحادية.

٢- بالنسبة لسلطنة عمان:
أي فرد يتمتع بجنسية سلطنة عمان وأي شخص قانوني أو شركة تضامن أو اتحاد يستمد المركز الخاص به من القوانين المعمول بها في سلطنة عمان.

ط- يقصد بعبارة “السلطة المختصة”:

١- بالنسبة لجمهورية ألمانيا الاتحادية:
وزارة المالية الاتحادية أو الجهة الإدارية التي تفوض إليها سلطاتها.

٢- بالنسبة لسلطنة عمان:
وزارة المالية أو من ينوب عنها قانونا.

٢- عند تطبيق أي دولة متعاقدة لهذه الاتفاقية في أي وقت، فإن أي اصطلاح لم يرد تعريفه فيها يجب أن يفسر طبقا لمضمونه السائد في ذلك الوقت في قانون هذه الدولة والخاص بالضرائب التي تتناولها الاتفاقية، وذلك ما لم يقتض النص غير ذلك، ويتعين الاعتداد بالمضمون الوارد في القوانين الضريبية لهذه الدولة دون المضمون الوارد في القوانين الأخرى المطبقة فيها.

المادة الرابعة
المقيم

١- لأغراض هذه الاتفاقية يقصد بعبارة “مقيم في دولة متعاقدة”:

أ- بالنسبة لجمهورية ألمانيا الاتحادية، أي شخص يكون وفقا لقوانين جمهورية ألمانيا الاتحادية خاضعا فيها للالتزام بالضريبة غير محدود وتشمل جمهورية ألمانيا الاتحادية وأي Land أو تقسيم سياسي أو سلطة محلية فيها.

ب- بالنسبة لسلطنة عمان، أي شخص طبيعي يكون له سكن أو إقامة في سلطنة عمان ومن مواطنيها وأي شركة تم تأسيسها في سلطنة عمان ويوجد فيها مقر إدارتها الفعلي وتشمل سلطنة عمان وأي تقسيم سياسي أو سلطة محلية فيها.

٢- إذا اعتبر أي فرد بالتطبيق لأحكام الفقرة (١) مقيما في كلتا الدولتين المتعاقدتين، فإن مركزه يحدد وفقا لما يأتي:

أ- يعتبر مقيما فقط في الدولة التي له فيها سكن دائم تحت تصرفه، فإذا كان له سكن دائم في كلتا الدولتين، يعتبر مقيما فقط في الدولة التي ترتبط مصالحه الشخصية والاقتصادية معها بدرجة تفوق الدولة الأخرى (مركز مصالحه الحيوية).

ب- إذا لم يمكن تحديد الدولة التي يوجد فيها مركز مصالحه الحيوية، أو إذا لم يكن له سكن دائم تحت تصرفه في أي من الدولتين، فيعتبر مقيما فقط في الدولة التي يكون له فيها سكن معتاد.

ج- إذا كان له سكن معتاد في كلتا الدولتين أو لم يكن له سكن معتاد في أي منهما، فيعتبر مقيما فقط في الدولة التي يتمتع بجنسيتها.

د- إذا لم يمكن تحديد مركزه كمقيم طبقا لأي من الفقرات من (أ) إلى (ج) على التوالي، تتولى السلطتان المختصتان في الدولتين المتعاقدتين التوصل إلى حل باتفاق مشترك بينهما.

٣- إذا كان أي شخص آخر من غير الأفراد يعتبر بالتطبيق لما جاء بالفقرة (١) مقيما في كلتا الدولتين المتعاقدتين، فإنه يعتبر مقيما فقط بالدولة التي يوجد فيها مقر إدارته الفعلي.

المادة الخامسة
المنشأة المستقرة

١- لأغراض هذه الاتفاقية، يقصد بعبارة “منشأة مستقرة” المقر الثابت للنشاط الذي يباشر فيه المشروع كل نشاطه أو جزءا منه.

٢- تشمل عبارة “منشأة مستقرة” بصفة خاصة ما يأتي:

أ- مقر الإدارة.

ب- فرع.

ج- مكتب.

د- مصنع.

هـ- ورشة.

و- منجم أو بئر نفط أو غاز أو محجر أو أي مكان آخر لاستخراج الموارد الطبيعية.

٣- يعتبر موقع البناء أو مشروع التشييد أو التجميع أو التركيب بمثابة منشأة مستقرة إذا استمر فقط لمدة تزيد على تسعة أشهر.

٤- على الرغم من الأحكام السابقة من هذه المادة، لا تشمل عبارة “منشأة مستقرة” ما يأتي:

أ- استخدام التسهيلات فقط لغرض التخزين أو لعرض البضائع أو السلع الخاصة بالمشروع.

ب- الاحتفاظ بمخزون من البضائع أو السلع الخاصة بالمشروع لغرض التخزين أو العرض فقط.

ج- الاحتفاظ بمخزون من البضائع أو السلع الخاصة بالمشروع فقط لغرض تصنيعها بواسطة مشروع آخر.

د- الاحتفاظ بمقر ثابت للنشاط فقط لغرض شراء سلع أو بضائع أو جمع معلومات للمشروع.

هـ- الاحتفاظ بمقر ثابت للنشاط فقط لغرض القيام للمشروع بأي نشاط آخر له طبيعة تحضيرية أو تكميلية.

و- الاحتفاظ بمقر ثابت للنشاط فقط لغرض تجميع الأنشطة المشار إليها في الفقرات من (أ) إلى (هـ) السابقة بشرط أن يكون للنشاط الكلي للمقر الثابت والناتج من هذا التجميع طبيعة تحضيرية أو تكميلية.

٥- على الرغم من الأحكام الواردة بالفقرات (١) و(٢) و(٣) إذا قام شخص – بخلاف الوكيل المستقل الذي يخضع لحكم الفقرة (٦) – بالتصرف في دولة متعاقدة نيابة عن مشروع من الدولة المتعاقدة الأخرى، يعتبر أن لهذا المشروع منشأة مستقرة بالدولة المتعاقدة المشار إليها أولا فيما يتعلق بأي أنشطة يتولاها هذا الشخص للمشروع إذا كان هذا الشخص:

أ- يمارس في هذه الدولة بصفة معتادة سلطة إبرام العقود باسم المشروع ما لم تكن أنشطة هذا الشخص تقتصر على الأنشطة المنصوص عليها في الفقرة (٤) والتي إذا تمت ممارستها من خلال مقر ثابت للنشاط لا تؤدي إلى اعتبار هذا المقر الثابت بمثابة منشأة مستقرة في تطبيق أحكام تلك الفقرة.

ب- أو لا يمارس هذه السلطة ولكنه يحتفظ بصفة معتادة في الدولة المشار إليها أولا بمخزون من البضائع أو السلع يسلم منه بضائع أو سلع نيابة عن المشروع.

٦- لا يعتبر أن لمشروع منشأة مستقرة في دولة متعاقدة لمجرد ممارسته النشاط في هذه الدولة عن طريق وسيط أو وكيل عام بالعمولة أو أي وكيل آخر ذي صفة مستقلة بشرط أن يمارس هؤلاء الأشخاص عملهم في إطار نشاطهم المعتاد وألا تفرض بينهم شروط في علاقاتهم التجارية والمالية تكون مختلفة عن تلك التي يتم الاتفاق عليها عادة فيما بين أشخاص مستقلين.

٧- إذا كانت شركة مقيمة في دولة متعاقدة تسيطر على أو تسيطر عليها شركة مقيمة في الدولة المتعاقدة الأخرى، أو تمارس النشاط في تلك الدولة الأخرى (سواء عن طريق منشأة مستقرة أو غير ذلك) فان ذلك لا يؤدي في حد ذاته إلى اعتبار أي من الشركتين بمثابة منشأة مستقرة للشركة الأخرى.

المادة السادسة
الدخل من الأموال الثابتة

١- الدخل الذي يحصل عليه مقيم في دولة متعاقدة من أموال ثابتة (بما في ذلك الدخل الناتج من الزراعة أو الغابات) كائنة في الدولة المتعاقدة الأخرى يجوز أن يخضع للضريبة في هذه الدولة الأخرى.

٢- يقصد بعبارة “الأموال الثابتة” المعنى المحدد في قانون الدولة المتعاقدة الكائن فيها هذه الأموال، وتشمل هذه العبارة في كل الأحوال ملحقات الأموال الثابتة، والماشية، والمعدات المستخدمة في الزراعة (بما في ذلك تربية وزراعة الأسماك) والغابات، والحقوق التي تسري عليها أحكام القانون العام المتعلقة بالملكية العقارية. وتعتبر أموالا ثابتة أيضا، الحق في الانتفاع بالأموال الثابتة، والحق في اقتضاء مبالغ ثابتة أو متغيرة مقابل استغلال أو الحق في استغلال مناطق التعدين والمصادر والموارد الطبيعية الأخرى، ولا تعتبر السفن والطائرات أموالا ثابتة.

٣- تطبق أحكام الفقرة رقم (١) أيضا على الدخل الناشئ من الاستغلال المباشر أو تأجير أو استخدام الأموال الثابتة بأي شكل آخر.

٤- تطبق أحكام الفقرتين رقمي (١) و(٣) أيضا على الدخل من الأموال الثابتة لأي مشروع وعلى الدخل الناشئ من الأموال الثابتة المستخدمة في أداء خدمات شخصية مستقلة.

المادة السابعة
أرباح المشروعات

١- تخضع أرباح مشروع دولة متعاقدة للضريبة في هذه الدولة فقط ما لم يكن المشروع يباشر النشاط في الدولة المتعاقدة الأخرى عن طريق منشأة مستقرة كائنة فيها، فإذا كان المشروع يباشر نشاطه على النحو السابق ذكره يجوز فرض الضريبة على أرباح المشروع في الدولة الأخرى، ولكن فقط في حدود ما يحققه من أرباح عن طريق هذه المنشأة المستقرة.

٢- مع مراعاة أحكام الفقرة (٣) من هذه المادة إذا قام مشروع دولة متعاقدة بمباشرة النشاط في الدولة المتعاقدة الأخرى عن طريق منشأة مستقرة كائنة فيها، فإن ما ينسب إلى المنشأة المستقرة في كل دولة متعاقدة هو الأرباح التي يتوقع تحقيقها بافتراض أنها مشروع مستقل ومنفصل يباشر الأنشطة ذاتها أو أنشطة مماثلة لها في الظروف ذاتها أو في ظروف مماثلة لها ويتعامل باستقلال تام مع المشروع الذي يعتبر بمثابة منشأة مستقرة له.

٣- عند تحديد أرباح منشأة مستقرة يسمح بخصم المصروفات التي تتكبدها لأغراض مباشرة النشاط كمنشأة مستقرة، بما في ذلك المصروفات التنفيذية والإدارية العامة بالقدر الذي تكبدته سواء في الدولة الكائن فيها المنشأة المستقرة أو في أي مكان آخر.

٤- عند تحديد الأرباح التي تنسب إلى المنشأة المستقرة على أساس توزيع الأرباح الكلية للمشروع على أجزائه المختلفة وفقا لما جرت به العادة لدى دولة متعاقدة، لا تحول أحكام الفقرة (٢) دون تحديد هذه الدولة المتعاقدة للأرباح التي تخضع للضريبة على الأساس المعتاد للتوزيع، ومع ذلك يجب أن تكون النتيجة التي تسفر عنها طريقة التوزيع المتبعة متفقة مع المبادئ المنصوص عليها في هذه المادة.

٥- لا يمكن أن تنسب أي أرباح إلى منشأة مستقرة لمجرد شراء هذه المنشأة المستقرة لبضائع أو سلع للمشروع.

٦- لأغراض الفقرات السابقة من هذه المادة، تحدد الأرباح التي تنسب إلى المنشأة المستقرة بالطريقة ذاتها المتبعة في كل سنة ما لم يوجد سبب كاف يبرر اتباع طريقة أخرى.

٧- تسري هذه المادة أيضا على الدخل الناشئ من المشاركة في شركة تضامن، كما تسري على المكافأة التي يتقاضاها الشريك من شركة التضامن سواء مقابل ما يباشره من نشاط لصالح الشركة أو مقابل تقديم القروض أو توفير الأصول إذا كانت مثل هذه المكافأة تعتبر – طبقا للقانون الضريبي السائد في الدولة المتعاقدة الكائن فيها المنشأة المستقرة – بمثابة دخل حصل عليه الشريك من هذه المنشأة المستقرة.

٨- إذا تضمنت الأرباح عناصر للدخل تم النص عليها بصفة مستقلة في مواد أخرى من هذه الاتفاقية، فإن أحكام المواد المشار إليها لا تتأثر بأحكام هذه المادة.

المادة الثامنة
النقل البحري والجوي

١- الأرباح التي يحققها مشروع دولة متعاقدة من تشغيل السفن أو الطائرات في النقل الدولي تخضع للضريبة في هذه الدولة المتعاقدة فقط.

٢- لأغراض تطبيق هذه المادة، تشمل عبارة “الأرباح الناتجة من تشغيل السفن أو الطائرات في النقل الدولي” الأرباح من:

أ- تأجير السفن أو الطائرات بصفة عارضة وفقا لنظام التأجير بدون طاقم القيادة.

ب- استخدام أو تأجير الحاويات (بما في ذلك المقطورات والمعدات المرتبطة بها التي تستخدم لنقل الحاويات).

إذا كانت هذه الأنشطة تتعلق بتشغيل السفن أو الطائرات في النقل الدولي.

٣- لأغراض هذه المادة، فإن الفائدة على الأموال المرتبطة مباشرة بتشغيل السفن أو الطائرات في النقل الدولي تعتبر من قبيل الأرباح الناشئة من تشغيل مثل هذه السفن أو الطائرات، ولا تسري أحكام المادة (١١) فيما يتعلق بهذه الفائدة.

٤- تسري أحكام هذه المادة أيضا على الأرباح الناشئة من المشاركة في مجموعة (POOL) أو نشاط مشترك أو توكيل تشغيل عالمي.

المادة التاسعة
المشروعات المشتركة

١- في حالة:

أ- مشاركة مشروع دولة متعاقدة بطريق مباشر أو غير مباشر في إدارة أو رقابة أو في رأسمال مشروع للدولة المتعاقدة الأخرى.

ب- أو مشاركة الأشخاص ذاتهم بطريق مباشر أو غير مباشر في إدارة أو رقابة أو في رأسمال مشروع دولة متعاقدة ومشروع للدولة المتعاقدة الأخرى.

وإذا فرضت – في أي من الحالتين – شروط بين المشروعين في علاقتيهما التجارية أو المالية والتي تختلف عن الشروط التي يمكن وضعها بين المشروعات المستقلة، فإن أي أرباح يمكن أن تستحق لأي من المشروعين نتيجة لهذه الشروط ولكنها لم تستحق فعلا بسبب هذه الشروط، يجوز إدراجها ضمن أرباح ذلك المشروع وإخضاعها للضريبة تبعا لذلك.

٢- إذا أدرجت دولة متعاقدة – ضمن أرباح أي من مشروعاتها – أرباح مشروع للدولة المتعاقدة الأخرى فرضت عليها الضريبة فيها – وأخضعتها تلك الدولة للضريبة تبعا لذلك – وكانت الأرباح المدرجة على هذا النحو من قبيل الأرباح التي يمكن أن تتحقق لمشروع الدولة المشار إليها أولا إذا كانت الشروط المتفق عليها بين المشروعين هي الشروط ذاتها التي يمكن الاتفاق عليها بين مشروعين مستقلين، فإن هذه الدولة الأخرى تقوم بإجراء التسوية المناسبة للضريبة المفروضة فيها على هذه الأرباح. ويعتد عند إجراء التسوية بالأحكام الأخرى لهذه الاتفاقية، ويتم التشاور بين السلطتين المختصتين في الدولتين المتعاقدتين إذا تطلب الأمر ذلك.

المادة العاشرة
أرباح الأسهم

١- أرباح الأسهم التي تدفعها أي شركة مقيمة في دولة متعاقدة إلى مقيم في الدولة المتعاقدة الأخرى يجوز أن تفرض عليها الضريبة في هذه الدولة الأخرى.

٢- ومع ذلك يجوز فرض الضريبة أيضا على أرباح الأسهم المشار إليها في الدولة المتعاقدة التي تقيم فيها الشركة التي دفعت أرباح الأسهم وذلك وفقا لقوانين تلك الدولة، ولكن إذا كان المالك المستفيد من الأرباح مقيما في الدولة المتعاقدة الأخرى، فيجب أن لا تزيد الضريبة المفروضة على هذا النحو عن النسب الأتية:

أ- خمسة بالمائة (٥٪) من إجمالي مبلغ أرباح الأسهم إذا كان المالك المستفيد شركة تملك بصفة مباشرة نسبة عشرة بالمائة (١٠٪) على الأقل من رأسمال الشركة التي تدفع أرباح الأسهم.

ب- عشرة بالمائة (١٠٪) من إجمالي أرباح الأسهم في جميع الحالات الأخرى.

ج- مع عدم الإخلال بأحكام الفقرتين الفرعيتين (أ) و(ب)، خمسة عشرة بالمائة (١٥٪) من إجمالي مبلغ أرباح الأسهم إذا كانت الشركة الموزعة هي شركة استثمار عقارية تتمتع بإعفاء ضريبي لكل أو جزء من أرباحها أو بالقدرة على خصم التوزيعات عند تحديد أرباحها.

ولا تؤثر هذه الفقرة في فرض الضريبة على الشركة فيما يتعلق بالأرباح التي تدفع منها أرباح الأسهم.

٣- يقصد بعبارة “أرباح الأسهم” المشار إليها في هذه المادة الدخل الذي يتحقق من الأسهم أو أسهم الانتفاع أو حقوق الانتفاع أو أسهم التعدين أو أسهم المؤسسين أو الأنواع الأخرى من الدخل والتي تخضع للمعاملة الضريبية ذاتها المقررة على الدخل من الأسهم وفقا لقوانين الدولة التي تقيم فيها الشركة التي توزع الأرباح، وكذلك التوزيعات على شهادات أي صندوق استثمار أو شركة استثمار.

٤- لا تسري أحكام الفقرتين (١) و(٢) إذا كان المالك المستفيد من أرباح الأسهم مقيما بدولة متعاقدة ويباشر في الدولة المتعاقدة الأخرى التي تقيم فيها الشركة التي توزع الأرباح نشاطا عن طريق منشأة مستقرة كائنة فيها، أو يؤدي في هذه الدولة الأخرى خدمات شخصية مستقلة من مقر ثابت كائن فيها، وكانت ملكية الأسهم التي تدفع عنها الأرباح ترتبط بصفة فعلية بتلك المنشأة المستقرة أو هذا المقر الثابت، وتطبق في هذه الحالة أحكام المادة (٧) أو المادة (١٤) بحسب الأحوال.

٥- إذا حققت شركة مقيمة بدولة متعاقدة أرباحا أو دخلا من الدولة المتعاقدة الأخرى، فلا يجوز لهذه الدولة الأخرى أن تفرض أي ضريبة على أرباح الأسهم التي توزعها الشركة ما لم تكن هذه الأرباح قد دفعت إلى مقيم في هذه الدولة الأخرى أو كانت ملكية الأسهم التي تدفع عنها الأرباح ترتبط بصفة فعلية بمنشأة مستقرة أو بمقر ثابت كائن في هذه الدولة الأخرى، ولا يجوز كذلك أن تفرض على أرباح الشركة غير الموزعة الضريبة التي تسري على أرباح الشركات غير الموزعة حتى لو كانت أرباح الأسهم الموزعة أو الأرباح غير الموزعة تتكون كليا أو جزئيا من أرباح أو دخل نشا في هذه الدولة الأخرى.

المادة الحادية عشرة
فوائد الديون

١- الفائدة التي تنشأ في دولة متعاقدة وتدفع إلى مقيم في الدولة المتعاقدة الأخرى تخضع للضريبة فقط في هذه الدولة الأخرى إذا كان هذا المقيم هو المالك المستفيد من الفائدة وخاضع للضريبة فيما يتعلق بالفائدة في هذه الدولة المتعاقدة الأخرى.

٢- يقصد بكلمة “الفائدة” الواردة في هذه المادة الدخل الناشئ من الديون بجميع أنواعها سواء كانت مضمونة أو غير مضمونة برهن، وتشمل على وجه الخصوص الدخل من السندات الحكومية والدخل من السندات أو الصكوك بما في ذلك المكافآت والجوائز المتعلقة بهذه السندات الحكومية أو السندات أو الصكوك. ولا تعتبر الغرامات المفروضة نتيجة التأخير في السداد من قبيل الفوائد لأغراض هذه المادة.

٣- لا تسري أحكام الفقرة (١) إذا كان المالك المستفيد من الفائدة مقيما في دولة متعاقدة ويباشر في الدولة المتعاقدة الأخرى التي نشأت فيها الفائدة نشاطا عن طريق منشأة مستقرة كائنة فيها، أو يؤدي في هذه الدولة الأخرى خدمات شخصية مستقلة من مقر ثابت كائن فيها، وكان الدين الذي تدفع عنه الفائدة يرتبط بصفة فعلية بتلك المنشأة المستقرة أو هذا المقر الثابت، وتطبق في هذه الحالة أحكام المادة (٧) أو المادة (١٤) بحسب الأحوال.

٤- تعتبر الفائدة قد نشأت في دولة متعاقدة إذا كان من يدفعها الدولة ذاتها أو Land أو تقسيم سياسي أو سلطة محلية أو مقيم في هذه الدولة، ومع ذلك إذا كان لدى الشخص الذي سدد الفائدة – سواء كان مقيما في دولة متعاقدة، أو غير مقيم فيها – منشأة مستقرة أو مقر ثابت في دولة متعاقدة يرتبط بالمديونية التي استحقت عنها الفائدة المدفوعة، وكانت هذه الفائدة قد تحملتها تلك المنشأة المستقرة أو هذا المقر الثابت، فإن الفائدة تعتبر أنها نشأت في الدولة المتعاقدة الكائن فيها تلك المنشأة المستقرة أو هذا المقر الثابت.

٥- إذا أدى وجود علاقة خاصة بين من يدفع الفائدة والمالك المستفيد منها أو بينهما وبين شخص آخر إلى زيادة في مبلغ الفائدة المتعلق بالدين الذي دفعت عنه هذه الفائدة، عن المبلغ الذي كان يمكن الاتفاق عليه بين من يدفع الفائدة والمالك المستفيد منها في حالة عدم وجود تلك العلاقة، فتطبق أحكام هذه المادة على مبلغ الفائدة المشار إليه أخيرا فقط، وفي هذه الحالة يظل الجزء الزائد من المدفوعات خاضعا للضريبة وفقا لقوانين كل دولة متعاقدة، وبمراعاة الأحكام الأخرى لهذه الاتفاقية.

المادة الثانية عشرة
الأتاوى

١- الأتاوى التي تنشا في دولة متعاقدة وتدفع إلى مقيم في الدولة المتعاقدة الأخرى، يجوز أن تفرض عليها الضريبة في هذه الدولة الأخرى.

٢- ومع ذلك يجوز أن تفرض أيضا على مثل هذه الأتاوى الضريبة في الدولة المتعاقدة التي نشأت فيها وبمقتضى قوانين هذه الدولة، ولكن إذا كان المالك المستفيد من الأتاوى مقيما بالدولة المتعاقدة الأخرى، فإن الضريبة المفروضة على هذا النحو يجب أن لا تزيد على ثمانية بالمائة (٨٪) من إجمالي مبلغ الأتاوى.

٣- يقصد بكلمة “الأتاوى” الواردة في هذه المادة المدفوعات من أي نوع يتم تسلمها مقابل استخدام، أو حق استخدام أي حقوق للملكية الأدبية، أو الأعمال الفنية أو العلمية بما فيها الأفلام السينمائية، وأي براءات اختراع، أو علامات تجارية، أو تصميم أو طراز أو خطة أو عملية إنتاج أو تركيبة سرية، أو لاستخدام أو حق استخدام المعدات الصناعية، أو للمعلومات المتعلقة بالخبرة الصناعية، والتجارية أو العلمية وتشمل كلمة “الأتاوى” أيضا المدفوعات من أي نوع مقابل استخدام أو حق استخدام اسم شخص أو صورة أو أي حقوق شخصية مماثلة وعلى المبالغ المستلمة كمقابل لتسجيل أداء الفنانين أو الرياضيين بالإذاعة الصوتية أو المرئية.

٤- لا تسري أحكام الفقرتين (١) و(٢) إذا كان المالك المستفيد من الأتاوى مقيما في دولة متعاقدة ويباشر في الدولة المتعاقدة الأخرى التي تنشأ فيها الأتاوى نشاطا عن طريق منشأة مستقرة كائنة فيها، أو يؤدي في هذه الدولة الأخرى خدمات شخصية مستقلة من مقر ثابت كائن فيها، وكان الحق أو الملكية التي تدفع عنها الأتاوى ترتبط بصفة فعلية بتلك المنشأة المستقرة أو هذا المقر الثابت، وتطبق في هذه الحالة أحكام المادة (٧) أو المادة (١٤) بحسب الأحوال.

٥- تعتبر الأتاوى قد نشأت في دولة متعاقدة إذا كان من يدفعها الدولة ذاتها أو Land أو تقسيم سياسي أو سلطة محلية أو مقيم في هذه الدولة، ومع ذلك إذا كان لدى الشخص الذي يدفع الأتاوى – سواء كان مقيما في دولة متعاقدة أو غير مقيم فيها – منشأة مستقرة أو مقر ثابت في دولة متعاقدة يرتبط بالحق الذي استحقت عنه الأتاوى، وكانت الأتاوى قد تحملتها هذه المنشأة المستقرة أو المقر الثابت، فإن هذه الأتاوى تعتبر أنها نشأت في الدولة الكائن فيها المنشأة المستقرة أو المقر الثابت.

٦- إذا أدى وجود علاقة خاصة بين من يدفع الأتاوى والمالك المستفيد منها أو بينهما وبين شخص آخر، إلى زيادة في مبلغ الأتاوى فيما يتعلق بالاستخدام أو الحق أو المعلومات التي دفعت عنها، عن المبلغ الذي كان يمكن الاتفاق عليه بين من يدفع والمالك المستفيد في حالة عدم وجود تلك العلاقة، فتطبق أحكام هذه المادة على مبلغ الأتاوى المشار إليه أخيرا فقط، وفي هذه الحالة يظل الجزء الزائد من المدفوعات خاضعا للضريبة وفقا لقوانين كل دولة متعاقدة، وبمراعاة الأحكام الأخرى لهذه الاتفاقية.

المادة الثالثة عشرة
الأرباح الرأسمالية

١- الأرباح التي يحصل عليها مقيم في دولة متعاقدة من التصرف في الأموال الثابتة المشار إليها في المادة (٦) والكائنة في الدولة المتعاقدة الأخرى، يجوز أن تفرض عليها الضريبة في هذه الدولة الأخرى.

٢- الأرباح الناتجة من التصرف في أموال منقولة تمثل جزءا من الأموال المخصصة لمباشرة نشاط منشأة مستقرة لمشروع دولة متعاقدة والكائنة في الدولة المتعاقدة الأخرى، أو في أموال منقولة تخص مقر ثابت لمقيم في دولة متعاقدة وكائن في الدولة المتعاقدة الأخرى لغرض أداء خدمات شخصية مستقلة، بما في ذلك الأرباح الناتجة من التصرف في هذه المنشأة المستقرة (سواء بمفردها أو مع المشروع بأكمله) أو في هذا المقر الثابت، يجوز أن تخضع للضريبة في هذه الدولة الأخرى.

٣- الأرباح التي يحصل عليها مقيم في دولة متعاقدة من التصرف في السفن أو الطائرات التي تعمل في النقل الدولي أو في الأموال المنقولة المتعلقة بتشغيل مثل هذه السفن أو الطائرات، تخضع للضريبة فقط في هذه الدولة المتعاقدة.

٤- الأرباح الناتجة من التصرف في أي أموال أخرى بخلاف تلك المشار إليها في الفقرات من (١) إلى (٣) تخضع للضريبة فقط في الدولة المتعاقدة التي يقيم فيها المتصرف في هذه الأموال.

المادة الرابعة عشرة
الخدمات الشخصية المستقلة

١- الدخل الذي يحصل عليه فرد مقيم في دولة متعاقدة فيما يتعلق بالخدمات المهنية، أو الأنشطة الأخرى التي لها طابع الاستقلال، يخضع للضريبة فقط في هذه الدولة ما لم يكن له بصفة منتظمة مقر ثابت في الدولة المتعاقدة الأخرى لغرض تأدية أنشطته، فإذا كان له مثل هذا المقر الثابت فحينئذ يجوز أن يخضع هذا الدخل للضريبة في الدولة الأخرى ولكن بالقدر الذي ينسب فقط إلى هذا المقر الثابت.

٢- تشمل عبارة “الخدمات المهنية” على وجه الخصوص الأنشطة المستقلة العلمية، أو الأدبية، أو الفنية، أو التعليمية أو أنشطة التدريس، وكذلك الأنشطة المستقلة للأطباء، وأطباء الأسنان، والمحامين، والمهندسين، والمعماريين، والمحاسبين.

المادة الخامسة عشرة
الخدمات الشخصية غير المستقلة

١- مع عدم الإخلال بأحكام المواد من (١٦) إلى (١٩) من هذه الاتفاقية، فإن الرواتب والأجور والمكافآت الأخرى المماثلة التي يحصل عليها مقيم في دولة متعاقدة مقابل أداء الوظيفة تخضع للضريبة في هذه الدولة فقط، ما لم تؤد الوظيفة في الدولة المتعاقدة الأخرى، فعندئذ يجوز أن تخضع المكافأة التي يحصل عليها من هذه الدولة الأخرى للضريبة المفروضة فيها.

٢- على الرغم من الأحكام الواردة في الفقرة (١)، فإن المكافأة التي يحصل عليها مقيم في دولة متعاقدة مقابل أداء وظيفة في الدولة المتعاقدة الأخرى تخضع للضريبة فقط في الدولة المشار إليها أولا بشرط:

أ- أن يكون المستلم متواجدا في الدولة الأخرى لفترة أو فترات لا تتجاوز في مجموعها ١٨٣ يوما خلال أي فترة اثني عشر شهرا تبدأ أو تنتهي في السنة الضريبية المعنية.

ب- وأن تكون المكافأة قد دفعت بواسطة أو نيابة عن صاحب عمل غير مقيم في الدولة الأخرى.

ج- وأن لا تكون المكافأة قد تحملتها منشأة مستقرة أو مقر ثابت لصاحب العمل كائن في الدولة الأخرى.

٣- على الرغم من الأحكام المنصوص عليها في الفقرات السابقة من هذه المادة، فإن المكافأة التي يتم الحصول عليها مقابل وظيفة تمت تأديتها على ظهر سفينة أو في طائرة تعمل في النقل الدولي يجوز فرض الضريبة عليها في الدولة المتعاقدة التي يقيم فيها المشروع الذي يتولى تشغيل السفينة أو الطائرة.

المادة السادسة عشرة
أتعاب المديرين

أتعاب المديرين والمدفوعات الأخرى المماثلة التي يحصل عليها مقيم في دولة متعاقدة بصفته عضوا بمجلس إدارة شركة مقيمة في الدولة المتعاقدة الأخرى، يجوز فرض الضريبة عليها في هذه الدولة الأخرى.

المادة السابعة عشرة
الفنانون والرياضيون

١- على الرغم من أحكام المواد (٧) و(١٤) و(١٥)، فإن الدخل الذي يحصل عليه مقيم في دولة متعاقدة بصفته فنانا في مجالات مثل المسرح، أو الصور المتحركة، أو الإذاعة الصوتية أو المرئية، أو موسيقيا، أو بصفته من الرياضيين، وذلك مقابل أنشطته الشخصية التي يباشرها بهذه الصفة في الدولة المتعاقدة الأخرى، يجوز أن يخضع للضريبة في هذه الدولة الأخرى.

٢- إذا كان الدخل يتعلق بأنشطة شخصية يباشرها فنان أو رياضي بهذه الصفة ولا يستحق للفنان أو الرياضي نفسه ولكن لشخص آخر، فإن هذا الدخل – على الرغم من أحكام المواد (٧) و(١٤) و(١٥) – يجوز أن تفرض عليه الضريبة في الدولة المتعاقدة التي يباشر فيها الفنان أو الرياضي أنشطته.

٣- لا تسري أحكام الفقرتين (١) و(٢) على الدخل الذي يستحق من مباشرة الأنشطة بواسطة الفنانين أو الرياضيين في دولة متعاقدة إذا كانت الزيارة لهذه الدولة المتعاقدة يتم تمويلها بالكامل أو بصفة غالبة من الأموال العامة للدولة الأخرى أو Land أو تقسيم سياسي أو سلطة محلية أو من منظمة معترف بها كمنظمة خيرية في هذه الدولة الأخرى. وفي هذه الحالة يجوز فرض الضريبة فقط على الدخل في الدولة المتعاقدة التي يقيم فيها الفرد.

المادة الثامنة عشرة
المعاشات والإيرادات المرتبة بصفة دورية والمدفوعات المماثلة

١- مع مراعاة أحكام الفقرة (٢) من المادة (١٩) فإن المعاشات والمدفوعات المماثلة أو الإيرادات المرتبة بصفة دورية التي تدفع لمقيم في دولة متعاقدة من الدولة المتعاقدة الأخرى تخضع للضريبة فقط في الدولة المشار إليها أولا.

٢- على الرغم من أحكام الفقرة (١) فإن المبالغ التي يتقاضاها أي شخص طبيعي مقيم في دولة متعاقدة من نظام الضمان الاجتماعي بالدولة المتعاقدة الأخرى تخضع للضريبة فقط في هذه الدولة الأخرى.

٣- يقصد بعبارة “الإيرادات المرتبة بصفة دورية” مبالغ محددة تكون واجبة الدفع بصفة دورية في أوقات محددة سواء لمدى الحياة أو لفترة زمنية محددة أو قابلة للتحديد بموجب التزام بأن يكون سداد تلك المبالغ المحددة كمقابل كاف وكامل عن عوض بالنقود أو ما يعادلها.

المادة التاسعة عشرة
الخدمة الحكومية

١- أ- الرواتب والأجور والمكافآت الأخرى المماثلة، بخلاف المعاش، التي تدفعها دولة متعاقدة أو Land أو تقسيم سياسي أو سلطة محلية أو أي كيان قانوني آخر- بموجب القانون العام لهذه الدولة – إلى أي شخص طبيعي مقابل ما أداه من خدمات لتلك الدولة أو Land أو التقسيم السياسي أو السلطة المحلية أو أي كيان قانوني آخر بموجب القانون العام، تخضع للضريبة في هذه الدولة فقط.

ب- ومع ذلك فان هذه الرواتب والأجور والمكافآت الأخرى المماثلة تخضع للضريبة في الدولة المتعاقدة الأخرى فقط إذا كانت الخدمات قد تمت تأديتها في هذه الدولة، وكان الشخص الطبيعي مقيما فيها ويعتبر إما:

١- من مواطني هذه الدولة.

٢- أو لم يصبح مقيما في هذه الدولة لغرض أداء هذه الخدمات فقط.

٢- أ- المعاش الذي يدفع إلى شخص طبيعي من قبل دولة متعاقدة أو Land أو تقسيم سياسي أو سلطة محلية أو أي كيان قانوني آخر بموجب القانون العام لهذه الدولة، أو يدفع من أموال صندوق ينشا من قبل أي منها مقابل أداء خدمات لهذه الدولة أو Land أو التقسيم السياسي أو السلطة المحلية أو أي كيان قانوني آخر بموجب القانون العام يخضع للضريبة في هذه الدولة فقط.

ب- ومع ذلك يخضع هذا المعاش للضريبة في الدولة المتعاقدة الأخرى فقط إذا كان الشخص الطبيعي مقيما في هذه الدولة ومن مواطنيها.

٣- تطبق أحكام المواد (١٥) و(١٦) و(١٧) أو (١٨) من هذه الاتفاقية على الرواتب والأجور والمكافآت الأخرى المماثلة، وعلى المعاشات المدفوعة مقابل أداء الخدمات التي ترتبط بنشاط تباشره دولة متعاقدة أو Land أو تقسيم سياسي أو سلطة محلية أو أي كيان قانوني آخر بموجب القانون العام لهذه الدولة.

٤- تطبق أحكام الفقرة (١) بطريقة مماثلة فيما يتعلق بالمكافأة المدفوعة طبقا لبرنامج المساعدة في التنمية الخاص بدولة متعاقدة أو Land أو تقسيم سياسي أو سلطة محلية من أموال قدمتها بالكامل هذه الدولة أو Land أو التقسيم السياسي أو السلطة المحلية إلى متخصص أو متطوع تم إيفاده للدولة المتعاقدة الأخرى بموافقتها.

المادة العشرون
الأساتذة الزائرون والمعلمون والطلبة

١- أي فرد يقوم بزيارة دولة متعاقدة – بناء على دعوة من هذه الدولة أو من جامعة معتمدة أو كلية أو مدرسة أو متحف أو أي مؤسسة ثقافية أخرى في هذه الدولة أو طبقا لبرنامج رسمي للتبادل الثقافي – لمدة لا تزيد على سنتين فقط لغرض التدريس أو إلقاء المحاضرات أو إجراء البحوث في هذه المؤسسة، ويقيم أو كان يقيم مباشرة قبل هذه الزيارة في الدولة المتعاقدة الأخرى، يعفى من الضريبة في الدولة المتعاقدة المشار إليها أولا على ما يحصل عليه من مكافأة مقابل هذا النشاط بشرط أن تكون المكافأة من مصادر خارج هذه الدولة.

٢- الطالب أو المتدرب على نشاط والمقيم أو الذي كان يقيم مباشرة قبل زيارته لدولة متعاقدة، في الدولة المتعاقدة الأخرى. وكان قد حضر إلى الدولة المشار إليها أولا فقط لغرض تعليمه أو تدريبه فيها، فإن ما يحصل عليه من مبالغ لمواجهة مصروفات معيشته أو تعليمه أو تدريبه لا تخضع للضريبة في هذه الدولة بشرط أن تكون هذه المدفوعات قد نشأت من مصادر خارجها.

المادة الحادية والعشرون
الأنواع الأخرى من الدخل

١- عناصر الدخل لمقيم في دولة متعاقدة، أيا ما كان منشؤها، والتي لم يتم تناولها في المواد السابقة من هذه الاتفاقية، تخضع للضريبة في هذه الدولة فقط.

٢- لا تسري أحكام الفقرة (١) على الدخل – بخلاف الدخل من الأموال الثابتة وفقا لتعريفها الوارد في الفقرة (٢) من المادة رقم (٦) – إذا كان من تسلم هذا الدخل مقيما في دولة متعاقدة ويباشر في الدولة المتعاقدة الأخرى نشاطا عن طريق منشأة مستقرة كائنة فيها، أو يؤدي في هذه الدولة الأخرى خدمات شخصية مستقلة من مقر ثابت كائن فيها، وكان الحق أو الملكية التي يدفع عنها الدخل ترتبط بصفة فعلية بتلك المنشأة المستقرة أو هذا المقر الثابت، وفي هذه الحالة تطبق أحكام المادة (٧) أو المادة (١٤) بحسب الأحوال.

المادة الثانية والعشرون
رأس المال

١- رأس المال المتمثل في الأموال الثابتة المشار إليها في المادة (٦) الذي يملكه مقيم بدولة متعاقدة والكائن بالدولة المتعاقدة الأخرى يجوز فرض الضريبة عليه في هذه الدولة الأخرى.

٢- رأس المال المتمثل في الأموال المنقولة التي تشكل جزءا من الأموال المخصصة لنشاط منشأة مستقرة تابعة لمشروع في دولة متعاقدة وكائنة في الدولة المتعاقدة الأخرى أو المتمثل في أموال منقولة تخص مقرا ثابتا تحت تصرف مقيم في دولة متعاقدة لغرض تأدية خدمات شخصية مستقلة في الدولة المتعاقدة الأخرى، يجوز فرض الضريبة عليه في هذه الدولة الأخرى.

٣- رأس المال المتمثل في السفن والطائرات التي تعمل في النقل الدولي والتي يديرها مقيم بدولة متعاقدة، ورأس المال المتمثل في أموال منقولة متصلة بتشغيل هذه السفن والطائرات، يخضع للضريبة في هذه الدولة فقط.

٤- تخضع كل العناصر لرأس مال أي مقيم بدولة متعاقدة للضريبة في هذه الدولة فقط.

المادة الثالثة والعشرون
تجنب الازدواج الضريبي

١- يتم تحديد الضريبة لأي مقيم في جمهورية ألمانيا الاتحادية على النحو الآتي:

أ- ما لم يسمح بخصم ما يقابل الضريبة الأجنبية وفقا للفقرة (١ / ب) يعفى من تطبيق أسس ربط الضريبة الألمانية أي عنصر للدخل ينشا في سلطنة عمان وأي عنصر لرأسمال كائن فيها ويمكن وفقا لهذه الاتفاقية فرض الضريبة عليه في سلطنة عمان.
في حالة عناصر الدخل من أرباح الأسهم تسري الأحكام السابقة فقط على هذه الأرباح والتي تدفع إلى شركة (فيما عدا شركات التضامن) مقيمة في جمهورية ألمانيا الاتحادية من قبل شركة مقيمة في سلطنة عمان تملك الشركة الألمانية بصفة مباشرة عشرة بالمائة (١٠٪) على الأقل من رأسمالها والتي لم يتم خصمها عند تحديد أرباح الشركة التي وزعت أرباح الأسهم.
وتعفى من تطبيق أسس ربط الضريبة على رأس المال أي مساهمة إذا دفعت عنها أرباح الأسهم تكون معفاة وفقا للفقرة السابقة.

ب- مع مراعاة أحكام قانون الضريبة الألمانية المتعلقة بالمبلغ المسموح به كخصم مقابل الضريبة الأجنبية، فإن الضريبة العمانية المدفوعة طبقا لقوانين سلطنة عمان وهذه الاتفاقية تخصم مقابل الضريبة الألمانية على الدخل والمستحقة على عناصر الدخل الآتية:

١- أرباح الأسهم التي لم يتم تناولها في الفقرة الفرعية (١ / أ) والتي تشمل تلك المبيئة في الفقرة الفرعية (٢ / ج) من المادة (١٠).

٢- الأتاوى.

٣- أتعاب المديرين.

٤- عناصر الدخل بالمعنى الوارد في المادة (١٧).

ج- تسري أحكام الفقرة (١ / ب) دون أحكام الفقرة (١ / أ) على عناصر الدخل وفقا لتعريفها بالمادتين (٧) و(١٠) وعلى الأصول التي تم منها الحصول على هذا الدخل إذا لم يثبت المقيم بجمهورية ألمانيا الاتحادية أن الدخل الإجمالي للمنشأة المستقرة في سنة النشاط التي تحقق فيها الربح أو أن الدخل الإجمالي للشركة المقيمة في سلطنة عمان في سنة النشاط التي دفعت منها أرباح الأسهم قد تم الحصول عليه بصورة مطلقة أو شبه مطلقة من أنشطة بمعناها المحدد بالأرقام من (١) إلى (٦) من الفقرة (١) من القسم (٨) من القانون الألماني للعلاقات الضريبية الخارجية. ويسري ذلك على الأموال الثابتة التي تستخدمها المنشأة المستقرة وعلى الدخل من
هذه الأموال الثابتة للمنشأة المستقرة (الفقرة ٤ من المادة ٦) وعلى الأرباح من التصرف في هذه الأموال الثابتة (الفقرة ١ من المادة ١٣) وفي الأموال المنقولة التي تشكل جزءا من الأموال المخصصة لنشاط المنشأة المستقرة (الفقرة ٢ من المادة ١٣).

د- تحتفظ جمهورية ألمانيا الاتحادية مع ذلك بالحق في مراعاة عناصر الدخل ورأس المال المعفاة من الضريبة الألمانية وفقا لأحكام هذه الاتفاقية وذلك عند تحديد معدل الضريبة.

هـ- على الرغم من أحكام الفقرة (١ / أ) يتم تجنب الازدواج الضريبي بالسماح بخصم ضريبي وفقا لما جاء بالفقرة (١ / ب).

١- إذا تم في الدولتين المتعاقدتين إخضاع عناصر للدخل أو لرأس المال لأحكام مختلفة من هذه الاتفاقية أو تم نسبتها إلى أشخاص مختلفين (باستثناء من تسري عليهم أحكام المادة ٩) ولم يمكن التوصل لتسوية هذا الخلاف باتباع الإجراءات المنصوص عليها في المادة (٢٥) وكان من نتيجة الخضوع للأحكام المختلفة أو النسبة إلى الأشخاص المختلفين أن الدخل أو رأس المال موضوع هذا الاختلاف سيظل غير خاضع للضريبة أو تفرض عليه ضريبة أقل من الضريبة التي كانت ستفرض في حالة عدم وجود هذا الاختلاف،

٢- أو إذا حدث بعد التشاور الواجب مع السلطة المختصة في سلطنة عمان أن قامت جمهورية ألمانيا الاتحادية بإخطار سلطنة عمان عن طريق القنوات الدبلوماسية بعناصر الدخل الأخرى التي تزمع في أن تطبق أحكام الفقرة (١ / ب) عليها، يتم عندئذ تجنب الازدواج الضريبي فيما يتعلق بالدخل الذي تم الإخطار عنه بإجراء خصم ضريبي اعتبارا من اليوم الأول من السنة الميلادية التي تم فيها توجيه الإخطار.

٢- يتم تجنب الازدواج الضريبي في سلطنة عمان كما يأتي:
إذا حصل مقيم في سلطنة عمان على دخل يجوز أن يخضع للضريبة في جمهورية ألمانيا الاتحادية بالتطبيق لأحكام هذه الاتفاقية، فإن سلطنة عمان تسمح بخصم مبلغ من الضريبة المفروضة على دخل هذا المقيم يعادل ضريبة الدخل المدفوعة في جمهورية ألمانيا الاتحادية إما مباشرة أو بإجراء الخصم، إلا أن ذلك الخصم لا يجوز أن يزيد على ذلك الجزء من الضريبة (كما هي محسوبة قبل الخصم) الذي ينسب إلى الدخل الذي يجوز فرض الضريبة عليه في جمهورية ألمانيا الاتحادية.

المادة الرابعة والعشرون
عدم التمييز

١- لا يجوز إخضاع مواطني دولة متعاقدة في الدولة المتعاقدة الأخرى لأي ضرائب أو التزامات أخرى تتعلق بهذه الضرائب تكون مختلفة أو أكثر عبئا من الضرائب أو الالتزامات الضريبية التي يخضع لها أو يجوز أن يخضع لها مواطنو هذه الدولة المتعاقدة الأخرى ممن يوجدون في الظروف ذاتها، وبصفة خاصة ما يتعلق بالإقامة.

٢- الأشخاص عديمو الجنسية المقيمين في دولة متعاقدة لا يخضعون في أي من الدولتين المتعاقدتين لأي ضرائب أو أي التزامات تتعلق بهذه الضرائب تكون مختلفة أو أكثر عبئا من الضرائب والالتزامات المتعلقة بها التي يخضع لها أو يجوز أن يخضع لها مواطنو الدولة المعنية ممن يوجدون في الظروف ذاتها.

٣- لا تخضع المنشأة المستقرة لمشروع دولة متعاقدة في الدولة المتعاقدة الأخرى لضرائب تفرض عليها في هذه الدولة الأخرى تقل في مزاياها عن الضرائب التي تفرض على مشروعات هذه الدولة الأخرى والتي تمارس الأنشطة ذاتها. ولا يجوز تفسير هذا النص على أنه ينطوي على إلزام أي دولة متعاقدة بمنح المقيمين في الدولة المتعاقدة الأخرى أي خصم أو إعفاءات أو تخفيضات شخصية لأغراض الضرائب والتي لا تمنحها سوى للمقيمين فيها فقط.

٤- باستثناء الحالات التي تسري عليها أحكام الفقرة (١) من المادة (٩) والفقرة (٥) من المادة (١١) أو الفقرة (٦) من المادة (١٢)، فإن فوائد الديون والأتاوى والنفقات الأخرى التي يدفعها مشروع دولة متعاقدة إلى مقيم في الدولة المتعاقدة الأخرى يتم خصمها لغرض تحديد الأرباح الخاضعة للضريبة لهذا المشروع وفقا للشروط ذاتها كما لو كانت قد دفعت إلى مقيم في الدولة المتعاقدة المشار إليها أولا، وبمثل ذلك فإن أي ديون تستحق على مشروع دولة متعاقدة لمقيم في الدولة المتعاقدة الأخرى يتم خصمها لأغراض تحديد رأس المال الخاضع للضريبة لهذا المشروع وفقا للشروط ذاتها كما لو كانت تستحق على المشروع لمقيم في الدولة المتعاقدة المشار إليها أولا.

٥- مشروعات أي دولة متعاقدة والتي يملك رؤوس أموالها كليا أو جزئيا أو يسيطر عليها بطريقة مباشرة أو غير مباشرة شخص أو أكثر مقيم في الدولة المتعاقدة الأخرى، لا يجوز أن تخضع في الدولة المتعاقدة المشار إليها أولا لأي ضرائب أو التزامات تتعلق بهذه الضرائب تكون مختلفة أو أكثر عبئا من الضرائب والالتزامات المتعلقة بها التي تخضع لها أو يجوز أن تخضع لها المشروعات الأخرى المماثلة في الدولة المتعاقدة المشار إليها أولا.

٦- تسري أحكام هذه المادة على الضرائب التي تشملها هذه الاتفاقية.

المادة الخامسة والعشرون
إجراءات الاتفاق المتبادل

١- إذا تبين لشخص أن الإجراءات التي اتخذتها إحدى الدولتين المتعاقدتين أو كلتاهما قد أدت أو تؤدي إلى فرض ضريبة عليه بما يخالف أحكام هذه الاتفاقية، يجوز له بغض النظر عن الأحكام التي تنص عليها القوانين الداخلية لهاتين الدولتين المتعاقدتين، أن يعرض منازعته على السلطة المختصة في الدولة المتعاقدة التي يقيم فيها أو على السلطة المختصة في الدولة المتعاقدة التي يتمتع بجنسيتها إذا كانت حالته تخضع لأحكام الفقرة (١) من المادة (٢٤). ويجب عرض المنازعة خلال ثلاث سنوات من تاريخ الإخطار الأول بالإجراء الذي نتج عنه فرض ضريبة تخالف أحكام هذه الاتفاقية.

٢- إذا تبين للسلطة المختصة أن المعارضة لها ما يبررها، وإذا لم تكن قادرة بذاتها على التوصل إلى حل مناسب لذلك، فإنها تسعى إلى الاتفاق المتبادل مع السلطة المختصة في الدولة المتعاقدة الأخرى، وذلك بقصد تجنب فرض الضريبة المخالفة لأحكام الاتفاقية. ويطبق أي اتفاق يتم التوصل إليه بغض النظر عن مدد التقادم المحددة في القوانين الداخلية للدولتين المتعاقدتين.

٣- تسعى السلطتان المختصتان في الدولتين المتعاقدتين إلى التوصل عن طريق الاتفاق المتبادل لحل أي صعوبات أو شك ينشأ فيما يتعلق بتفسير أو تطبيق أحكام هذه الاتفاقية، كما يجوز لهما التشاور معا لتجنب الازدواج الضريبي في الحالات التي لم يتم النص عليها في هذه الاتفاقية.

٤- يجوز للسلطتين المختصتين في الدولتين المتعاقدتين الاتصال مباشرة فيما بينهما، ويشمل ذلك تشكيل لجنة مشتركة من السلطتين أو من ممثليهما بغرض التوصل إلى اتفاق بالمفهوم المحدد في الفقرات السابقة.

المادة السادسة والعشرون
تبادل المعلومات

١- تقوم السلطتان المختصتان في الدولتين المتعاقدتين بتبادل المعلومات اللازمة لتنفيذ أحكام هذه المادة أو لتنفيذ القوانين الداخلية للدولتين المتعاقدتين المتعلقة بالضرائب التي تشملها هذه الاتفاقية وذلك في الحدود التي لا تكون فيها هذه الضرائب غير متفقة مع أحكام هذه الاتفاقية ولمنع التهرب الضريبي. ويتم تبادل المعلومات دون التقيد بأحكام المادة (١).

٢- تعامل أي معلومات استلمت بموجب الفقرة (١) من قبل دولة متعاقدة كمعلومات سرية أسوة بالمعلومات التي يتم الحصول عليها وفقا للقوانين الداخلية لهذه الدولة ويفضى بها فقط للأشخاص أو السلطات (بما فيها المحاكم والجهات الإدارية) المختصة بالربط أو التحصيل أو التنفيذ أو الاتهام أو تحديد الاستئنافات فيما يتعلق بالضرائب المشار إليها في الفقرة (١)، أو بالمراقبة على هذه النشاطات. وعلى أولئك الأشخاص أو هذه السلطات استخدام المعلومات لهذه الأغراض فقط، ولكن يجوز إفشاء سريتها عند نظر الدعاوى القضائية العمومية أمام المحاكم أو عند إصدار الأحكام القضائية.

٣- لا يجوز بأي حال من الأحوال أن تفسر أحكام الفقرتين (١) و(٢) على أنهما تفرضان التزاما على الدولة المتعاقدة سواء:

أ- لتنفيذ إجراءات إدارية مخالفة للقوانين والممارسة الإدارية لتلك الدولة المتعاقدة أو للدولة المتعاقدة الأخرى.

ب- لتقديم معلومات لا يمكن الحصول عليها طبقا للقوانين أو الإجراءات المعتادة للإدارة في تلك الدولة المتعاقدة أو في الدولة المتعاقدة الأخرى.

ج- لتقديم معلومات تؤدي إلى إفشاء سرية أي حرفة أو نشاط صناعي أو تجاري أو سر مهني أو طريقة تجارية أو معلومات يكون إفشاء سرية أي منها متعارضا مع النظام العام.

٤- إذا طلبت معلومات من قبل دولة متعاقدة بموجب هذه المادة، تقوم الدولة المتعاقدة الأخرى باستعمال إجراءات جمع المعلومات للحصول على المعلومات المطلوبة، بالرغم من أن تلك الدولة الأخرى قد لا تحتاج مثل هذه المعلومات لأغراض ضريبتها بالخاصة. إن الالتزام الوارد في الجملة السابقة خاضع لتقييدات الفقرة (٣)، ولا يجوز بأي حال من الأحوال أن تفسر هذه التقييدات على أن دولة متعاقدة تستطيع رفض إعطاء معلومات فقط لأنه ليس لها اهتمام محلي في هذه المعلومات.

٥- لا يجوز بأي حال تفسير الفقرة (٣) على أن دولة متعاقدة تستطيع رفض إعطاء معلومات فقط لأن المعلومات محفوظة لدى مصرف أو مؤسسة مالية أخرى أو ممثل أو شخص يتصرف وفق وكالة أو قدرة ائتمانية، أو لأنها تتعلق بحقوق ملكية شخص ما.

تقوم الدولتان المتعاقدتان بتبادل هذه المعلومات طبقا لأحكام هذه المادة، بغض النظر عن متطلبات القوانين المحلية للدولتان المتعاقدتان الخاصة بالأنظمة المصرفية أو المؤسسات المالية الأخرى.

المادة السابعة والعشرون
الإجراءات المتعلقة بالضرائب المفروضة من المنبع

١- إذا فرضت في إحدى الدولتين المتعاقدتين ضرائب على أرباح الأسهم أو فوائد الديون أو الأتاوى أو العناصر الأخرى للدخل التي يحصل عليها شخص مقيم في الدولة المتعاقدة الأخرى عن طريق الحجز من المنبع، فإن حق الدولة المشار إليها أولا في حجز الضريبة بالمعدل المنصوص عليه في قوانينها الداخلية لا يتأثر بأحكام هذه الاتفاقية. ويتم استرداد الضريبة المحجوزة من المنبع بناء على طلب الممول في حالة وفي حدود تخفيض هذه الضريبة أو عدم فرضها وفقا لهذه الاتفاقية.

٢- يجب تقديم طلبات الاسترداد خلال أربع سنوات من نهاية السنة الميلادية التي تم فيها تطبيق الضريبة المحجوزة من المنبع على أرباح الأسهم أو فوائد الديون أو الأتاوى أو العناصر الأخرى للدخل بغض النظر عن مدد التقادم المنصوص عليها في القوانين الداخلية لكل دولة متعاقدة.

٣- على الرغم من أحكام الفقرة (١) تقوم كل من الدولتين المتعاقدتين باتخاذ إجراءات يمكن استنادا لها أن يراعى عند دفع مبالغ الدخل غير الخاضعة وفقا لهذه الاتفاقية لأي ضريبة أو الخاضعة فقط لضريبة بمعدل منخفض في دولة المصدر، عدم خصم الضريبة أو خصم الضريبة بالمعدل المحدد في المادة المتعلقة بهذا الدخل فقط.

٤- يجوز للدولة المتعاقدة التي تنشا فيها عناصر الدخل أن تطلب الحصول على شهادة من السلطة المختصة بشأن الاقامة في الدولة المتعاقدة الأخرى.

المادة الثامنة والعشرون
تطبيق الاتفاقية في حالات خاصة

١- لا يجوز تفسير أحكام هذه الاتفاقية بما يحول دون تطبيق أي دولة متعاقدة لأحكام قانونها الداخلي المتعلقة بمنع التهرب أو التجنب الضريبي.

٢- إذا أدى تطبيق أحكام الفقرة (١) إلى الازدواج الضريبي تقوم السلطتان المختصتان بالتشاور فيما بينهما وفقا لأحكام المادة (٢٥) في شأن تجنب هذا الازدواج الضريبي.

المادة التاسعة والعشرون
أعضاء البعثات الدبلوماسية والمسؤولون القنصليون

١- لا يترتب على هذه الاتفاقية الإخلال بالامتيازات الضريبية لأعضاء البعثات الدبلوماسية أو المسؤولين القنصليين المقررة بموجب القواعد العامة للقانون الدولي أو بمقتضى اتفاقيات خاصة.

٢- مع عدم الإخلال بحكم المادة (٤)، فإن أي فرد يكون عضوا في بعثة دبلوماسية أو أي مسؤول قنصلي من دولة متعاقدة ويكون مقره كائنا في الدولة المتعاقدة الأخرى أو في دولة أخرى يعتبر لأغراض هذه الاتفاقية مقيما في الدولة الموفدة بشرط:

أ- أن لا يكون وفقا للقانون الدولي خاضعا للضريبة في الدولة الموفد إليها فيما يتعلق بالدخل من مصادر خارج هذه الدولة أو على رأس المال الكائن خارجها.

ب- وأن يكون خاضعا في الدولة الموفدة للالتزامات ذاتها المتعلقة بالضريبة على دخله الإجمالي أو على رأس المال والمفروضة على المقيمين في هذه الدولة.

المادة الثلاثون
ملحق الاتفاقية

يعتبر الملحق المرافق جزءا لا يتجزأ من هذه الاتفاقية.

المادة الحادية والثلاثون
سريان الاتفاقية

١- يتم التصديق على هذه الاتفاقية ويتم تبادل وثائق التصديق عليها في أقرب وقت ممكن.

٢- تسري هذه الاتفاقية بعد شهر من تبادل وثائق التصديق عليها.

٣- تسري أحكام هذه الاتفاقية وفقا لما يأتي:

أ- فيما يتعلق بالضرائب المحجوزة من المنبع: للمبالغ المدفوعة اعتبارا من اليوم الأول من شهر يناير في السنة الميلادية التالية مباشرة للسنة التي تكون فيها الاتفاقية نافذة.

ب- فيما يتعلق بالضرائب الأخرى: للضرائب المفروضة عن السنوات الضريبية التي تبدأ اعتبارا من اليوم الأول من شهر يناير في السنة الميلادية التالية مباشرة للسنة التي تكون فيها الاتفاقية نافذة.

ج- “فيما يتعلق بالنقل الدولي بشأن الضرائب المفروضة أو التي ستفرض عن السنة الضريبية ١٩٨٥ والسنوات الضريبية اللاحقة، وفقا للمواد ١، ٢، ٣، ٤، ٨، والفقرة ٣ من المادة ١٣، والفقرة ٣ من المادة ١٥، والفقرة ٣ من المادة ٢٢، والمواد ٢٣، ٢٤ و٢٥”.

المادة الثانية والثلاثون
إنهاء الاتفاقية

تظل هذه الاتفاقية نافذة لمدة غير محدودة، ولكن يجوز لأي من الدولتين المتعاقدتين لغاية اليوم الثلاثين من شهر يونيو في أي سنة ميلادية تبدأ بعد انتهاء خمس سنوات من تاريخ سريان الاتفاقية أن توجه إلى الدولة المتعاقدة الأخرى إخطارا كتابيا بإنهائها من خلال القنوات الدبلوماسية، وفي هذه الحالة يوقف سريان الاتفاقية وفقا لما يأتي:

أ- فيما يتعلق بالضرائب المحجوزة من المنبع: للمبالغ المدفوعة اعتبارا من اليوم الأول من شهر يناير في السنة الميلادية التالية مباشرة للسنة التي تم فيها توجيه الإخطار بإنهاء الاتفاقية.

ب- فيما يتعلق بالضرائب الأخرى: للضرائب المفروضة عن السنوات الضريبية التي تبدأ اعتبارا من اليوم الأول من شهر يناير في السنة الميلادية التالية مباشرة للسنة التي تم فيها توجيه الاخطار بإنهاء الاتفاقية.

إثباتا لما تقدم قام الموقعان أدناه بموجب السلطة المخولة لهما بالتوقيع على هذه الاتفاقية.

حررت في مدينة مسقط في يوم ١٥ / ٨ / ٢٠١٢م الموافق ٢٦ / ٩ / ١٤٣٣هـ من نسختين أصليتين متطابقتين باللغة العربية واللغة الألمانية واللغة الإنجليزية ولكل منها حجية متساوية، وفي حالة الاختلاف في تفسير النصين باللغتين الألمانية والعربية يعتد بالنص المعد باللغة الإنجليزية.

ملحق الاتفاقية بين سلطنة عمان وجمهورية ألمانيا الاتحادية لتجنب الازدواج الضريبي بالنسبة للضرائب على الدخل وعلى رأس المال

عند التوقيع على الاتفاقية بين سلطنة عمان وجمهورية ألمانيا الاتحادية لتجنب الازدواج الضريبي بالنسبة للضرائب على الدخل وعلى رأس المال، اتفقت جمهورية ألمانيا الاتحادية وسلطنة عمان على الأحكام الآتية لهذا الملحق، والذي يعتبر جزءا لا يتجزأ من الاتفاقية المشار إليها:

١- فيما يتعلق بالمادة (٢):

لا تشمل كلمة “الضريبة” أي مبلغ مستحق فيما يتعلق بأي إخلال أو إهمال بالنسبة للضرائب التي تسري عليها هذه الاتفاقية، أو ما يمثل غرامة مفروضة بالنسبة لهذه الضرائب.

٢- فيما يتعلق بالمادة (٤):

يعتبر صندوق الاحتياطي العام للدولة بسلطنة عمان، والذي تعتبر حكومة سلطنة عمان المالكة المستفيدة منه وتتولى إدارته، مقيما بسلطنة عمان لأغراض هذه الاتفاقية.

٣- فيما يتعلق بالمادة (٧):

أ- في حالة قيام مشروع دولة متعاقدة بمباشرة نشاط في الدولة المتعاقدة الأخرى عن طريق منشأة مستقرة كائنة فيها، يتم تحديد أرباح هذه المنشأة المستقرة على أساس النشاط الفعلي الذي باشرته هذه المنشأة المستقرة وفي حدود هذا النشاط. وكذلك في حالة تنفيذ عقود أعمال أو خدمات، يتم تحديد أرباح المنشأة المستقرة على أساس ذلك الجزء من العقد الذي قامت المنشأة المستقرة بتنفيذه فعلا.

ب- الأرباح التي يحصل عليها المركز الرئيسي من توريد البضائع للمنشأة المستقرة أو من تنفيذ جزء من عقد في الدولة المتعاقدة الكائن فيها المركز الرئيسي للمشروع، تخضع للضريبة في هذه الدولة فقط. ويتم تحديد هذه الأرباح وفقا لأسس موضوعية دون أي تقدير شخصي.

ج- فيما يتعلق بالفقرة (٣) من المادة (٧): لا يسمح بخصم أي مبالغ تستحق أو تدفع (فيما عدا سداد المصروفات الفعلية) من المنشأة المستقرة إلى المركز الرئيسي للمشروع، أو إلى أي من مراكزه الأخرى، من قبيل:

١- الأتاوى أو الرسوم أو المدفوعات المماثلة الأخرى مقابل استخدام براءات الاختراع أو الحقوق الأخرى.

٢- العمولة مقابل خدمات محددة تمت تأديتها أو مقابل الادارة.

٣- الفائدة على الأموال التي يتم إقراضها للمنشأة المستقرة باستثناء حالة المشروعات المصرفية.

٤- فيما يتعلق بالمادتين (٧) و(١٤):

المبالغ المدفوعة مقابل الخدمات الفنية بما في ذلك الدراسات أو أعمال المساحة ذات الطابع العلمي أو الجيولوجي أو الفني، أو مقابل العقود الهندسية بما في ذلك صور التصميمات المتعلقة بها أو مقابل الخدمات الاستشارية أو الإشرافية، تعتبر بمثابة مدفوعات تخضع لحكم المادة (٧) أو المادة (١٤) من الاتفاقية.

٥- فيما يتعلق بالمادتين (١٠) و(١١):

على الرغم من أحكام المادتين (١٠) و(١١) من الاتفاقية يجوز فرض الضريبة على أرباح الأسهم وفوائد الديون في الدولة المتعاقدة التي تنشأ فيها ووفقا لقوانين هذه الدولة إذا كانت هذه الفوائد وتلك الأرباح:

أ- قد استحقت من حقوق أو ديون تتضمن حق المشاركة في الأرباح بما في ذلك الدخل المستحق للشريك الموصى مقابل مشاركته بهذه الصفة أو من قرض بسعر فائدة مرتبط بربح المقترض أو من سندات المشاركة في الأرباح بالمعنى المحدد في القانون الضريبي لجمهورية ألمانيا الاتحادية.

ب- وقابلة للخصم عند تحديد أرباح المدين بهذا الدخل.

٦- فيما يتعلق بالمادة (١٨):

على الرغم من أحكام الفقرة (١) من المادة (١٨) فإن المبالغ التي تدفع بصفة متكررة أو غير متكررة من قبل جمهورية ألمانيا الاتحادية أو Land أو تقسيم سياسي أو سلطة محلية لأي شخص مقيم في سلطنة عمان كتعويض عن الملاحقة السياسية أو الضرر بسبب الحرب (بما في ذلك المدفوعات لإعادة الحال إلى ما كانت عليه) أو بسبب الخدمة العسكرية أو الخدمة المدنية البديلة أو بسبب جريمة أو التحصين من مرض أو تحقق أي واقعة مماثلة، تخضع للضريبة في جمهورية ألمانيا الاتحادية فقط.

٧- فيما يتعلق بالمادة (١٩):

تسري أحكام الفقرتين (١) و(٢) من المادة (١٩) أيضا فيما يتعلق بالمكافأة المدفوعة من معهد جوته أو من الهيئة الألمانية للتبادل العلمي (DAAD) في جمهورية ألمانيا الاتحادية أو لصالح أي منهما، ويجوز للسلطتين المختصتين عن طريق الاتفاق المتبادل تنظيم معاملة مماثلة للمكافأة التي تدفعها المعاهد المشابهة في الدولتين المتعاقدتين. وإذا لم تخضع المكافأة للضريبة في الدولة التي تم فيها تأسيس المركز تسري في هذه الحالة أحكام المادة (١٥).

٨- فيما يتعلق بالمادة (٢٦):

إذا تم وفقا للقانون الداخلي تبادل البيانات الشخصية بموجب هذه الاتفاقية، فإن الأحكام الإضافية الآتية تطبق وبمراعاة الأحكام القانونية المعمول بها في كل من الدولتين المتعاقدتين:

أ- يجوز للجهة الإدارية الوارد إليها البيانات استخدامها فقط في الأغراض المحددة وبمراعاة الشروط التي حددتها الجهة الإدارية التي قدمت هذه البيانات.

ب- تقوم الجهة الإدارية الوارد إليها البيانات إذا ما طلب منها ذلك بإخطار الجهة التي قدمت البيانات عن استخدام البيانات المقدمة والنتائج التي توصلت إليها منها.

ج- يجوز تقديم البيانات الشخصية إلى الجهات الإدارية المختصة فقط، ولا يجوز تقديمها بعد ذلك إلى جهات إدارية أخرى إلا بموافقة مسبقة من الجهة الادارية التي قدمت البيانات.

د- تلتزم الجهة الإدارية التي تقدم البيانات بتأكيد صحة البيانات وضرورتها ومناسبتها للغرض الذي قدمت من أجله، مع مراعاة أي قيود يفرضها القانون الداخلي على تقديم البيانات. وإذا تبين أنه قد تم تقديم بيانات غير صحيحة أو بيانات لم يكن من الواجب تقديمها يتم إخطار الجهة الإدارية الوارد إليها البيانات فورا لتتولى بدورها تصحيح أو استبعاد مثل هذه البيانات.

هـ- يتعين في حالة طلب الشخص المعني إخطاره بالبيانات المقدمة عنه والمتعلقة به وبالاستخدام المحدد لها. ولا ينشا الالتزام بالإخطار إذا ما ثبت أن ثمة صالح عام في الاحتفاظ بها يفوق صالح الشخص المعني في الإخطار. وفي جميع الحالات الأخرى يكون حق الشخص المعني في إخطاره بالبيانات القائمة المتعلقة به خاضعا لأحكام القانون الداخلي في الدولة المتعاقدة التي تتمتع بالسيادة على الإقليم الذي قدم فيه طلب الإخطار.

و- تكون الجهة الإدارية الوارد إليها البيانات مسؤولة وفقا لقوانينها الداخلية فيما يتعلق بما يصيب أي شخص خلافا للقانون من ضرر بسبب تقديم البيانات التي يتم تبادلها وفقا لهذه الاتفاقية.

ز- إذا تضمن القانون الداخلي للجهة الإدارية التي قدمت البيانات أحكاما خاصة لاستبعاد البيانات الشخصية المقدمة، فإن هذه الجهة الإدارية تتولى إخطار الجهة الوارد إليها البيانات تبعا لذلك. وبغض النظر عن هذا القانون يتم استبعاد البيانات الشخصية المقدمة فورا بمجرد صيرورتها غير لازمة للغرض الذي قدمت من أجله.

ح- تلتزم الجهات الإدارية التي تقدم البيانات والجهات التي ترد إليها بالاحتفاظ بسجلات رسمية تقيد فيها تقديم وتسلم البيانات الشخصية.

ط- تلتزم الجهات الإدارية التي تقدم البيانات والجهات التي ترد إليها باتخاذ الإجراءات اللازمة للمحافظة على البيانات الشخصية المقدمة وعدم السماح بالاطلاع عليها أو إفشائها أو تغييرها في غير الحالات المصرح بها.

Agreement between the Sultanate of Oman and the Federal Republic of Germany for the Avoidance of Double Taxation with respect to Taxes on Income and on Capital

The Sultanate of Oman and The Federal Republic of Germany,

Desiring to conclude an Agreement for the purpose of the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income and on capital,

Have agreed as follows:

Article 1
Persons Covered

This Agreement shall apply to persons who are residents of one or both of the Contracting States.

Article 2
Taxes Covered

(1) This Agreement shall apply to taxes on income and on capital imposed on behalf of a Contracting State or of a “Land” or a political subdivision or local authority, irrespective of the manner in which they are levied.

(2) There shall be regarded as taxes on income and on capital all taxes imposed on total income, on total capital, or on elements of income or of capital, including taxes on gains from the alienation of movable or immovable property, taxes on the total amounts of wages or salaries paid by enterprises, as well as taxes on capital appreciation.

(3) The existing taxes to which this Agreement shall apply are in particular:

a) in the Federal Republic of Germany:

i. the income tax (Einkommensteuer),

ii. the corporation tax (Körperschaftsteuer),

iii. the trade tax (Gewerbesteuer) and

iv. the capital tax (Vermögensteuer)

including the supplements levied thereon

(hereinafter referred to as “German tax”);

b) in the Sultanate of Oman:

the income tax (hereinafter referred to as “Omani tax”).

(4) The Agreement shall apply also to any identical or substantially similar taxes which are imposed after the date of signature of the Agreement in addition to, or in place of, the existing taxes. The competent authorities of the Contracting States shall notify each other of any significant changes, which have been made in their respective taxation laws.

Article 3
General Definitions

(1) For the purposes of this Agreement, unless the context otherwise requires:

a) the term “Sultanate of Oman” means the territory of the Sultanate of Oman and the islands belonging thereto, including the territorial waters and any area outside the territorial waters over which the Sultanate of Oman may, in accordance with international law and the laws of the Sultanate of Oman, exercise sovereign rights and jurisdiction in the sense of subparagraph (a) of paragraph (1) of Article 56 of the United Nations Convention on the Law of the Sea, signed on December 10, 1982 with respect to the exploration and exploitation of the natural resources of the sea-bed and the sub-soil and the superjacent waters;

b) the term “Federal Republic of Germany” means its territory as well as the area of the sea-bed, its sub-soil and the superjacent water column adjacent to the territorial sea, in so far as the Federal Republic of Germany may exercise sovereign rights and jurisdiction in accordance with international law and its national legislation in the sense of subparagraph (a) of paragraph (1) of Article 56 of the United Nations Convention on the Law of the Sea, signed on December 10, 1982 for the purpose of exploring, exploiting, conserving and managing the living and non-living natural resources;

c) the terms “a Contracting State” and “the other Contracting State” mean the Sultanate of Oman or the Federal Republic of Germany as the context requires;

d) the term “person” means an individual, a company and any other body of persons;

e) the term “company” means any body corporate or any entity, which is treated as a body corporate for tax purposes;

f) the terms “enterprise of a Contracting State” and “enterprise of the other Contracting State” mean respectively an enterprise carried on by a resident of a Contracting State or an enterprise carried on by a resident of the other Contracting State;

g) the term “international traffic” means any transport by a ship or aircraft operated by an enterprise of a Contracting State, except when the ship or aircraft is operated solely between places in the other Contracting State;

h) the term “national” means:

i. in respect of the Federal Republic of Germany,
any German within the meaning of the Basic Law of the Federal
Republic of Germany and any legal person, partnership or association deriving its status as such from the laws in force in the Federal Republic of Germany;

ii. in respect of the Sultanate of Oman,
any individual possessing the nationality of the Sultanate of Oman and any legal person, partnership or association deriving its status as such from the laws in force in the Sultanate of Oman;

i) the term “competent authority” means:

i. in the case of the Federal Republic of Germany, the Federal Ministry of Finance or the agency to which it has delegated its powers;

ii. in the case of the Sultanate of Oman, the Ministry of Finance or its authorized representative.

(2) As regards the application of the Agreement at any time by a Contracting State, any term not defined therein shall, unless the context otherwise requires, have the meaning that it has at that time under the law of that State for the purposes of the taxes to which the Agreement applies, any meaning under the applicable tax laws of that State prevailing over a meaning given to the term under other laws of that State.

Article 4
Resident

(1) For the purposes of this Agreement, the term “resident of a Contracting State” means:

a) in the case of the Federal Republic of Germany, a person who under the laws of the Federal Republic of Germany is subject to unlimited tax liability therein and includes the Federal Republic of Germany and a “Land”, a political subdivision or a local authority thereof; and

b) in the case of the Sultanate of Oman, an individual who has his domicile or residence in the Sultanate of Oman and is a national thereof and a company which is incorporated in the Sultanate of Oman and has its place of effective management therein and includes the Sultanate of Oman and a political subdivision or a local authority thereof.

(2) Where by reason of the provisions of paragraph 1 an individual is a resident of both Contracting States, then his status shall be determined as follows:

a) he shall be deemed to be a resident only of the State in which he has a permanent home available to him; if he has a permanent home available to him in both States, he shall be deemed to be a resident only of the State with which his personal and economic relations are closer (centre of vital interests);

b) if the State in which he has his centre of vital interests cannot be determined, or if he has not a permanent home available to him in either State, he shall be deemed to be a resident only of the State in which he has an habitual abode;

c) if he has an habitual abode in both States or in neither of them, he shall be deemed to be a resident only of the State of which he is a national;

d) if the status of the resident cannot be determined by reason of subparagraphs (a) to (c) in that sequence, the competent authorities of the Contracting States shall settle the question by mutual

(3) Where by reason of the provisions of paragraph 1 a person other than an individual is a resident of both Contracting States, then it shall be deemed to be a resident only of the State in which its place of effective management is situated.

Article 5
Permanent Establishment

(1) For the purposes of this Agreement, the term “permanent establishment” means a fixed place of business through which the business of an enterprise is wholly or partly carried on.

(2) The term “permanent establishment” includes especially:

a) a place of management;

b) a branch;

c) an office;

d) a factory;

e) a workshop, and

f) a mine, an oil or gas well, a quarry or any other place of extraction of natural resources.

(3) A building site or construction or assembly or installation project constitutes a permanent establishment only if it lasts more than nine months.

(4) Notwithstanding the preceding provisions of this Article, the term “permanent establishment” shall be deemed not to include:

a) the use of facilities solely for the purpose of storage or display of goods or merchandise belonging to the enterprise;

b) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of storage or display;

c) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of processing by another enterprise;

d) the maintenance of a fixed place of business solely for the purpose of purchasing goods or merchandise or of collecting information, for the enterprise;

e) the maintenance of a fixed place of business solely for the purpose of carrying on, for the enterprise, any other activity of a preparatory or auxiliary character;

f) the maintenance of a fixed place of business solely for any combination of activities mentioned in sub-paragraphs (a) to (e), provided that the overall activity of the fixed place of business resulting from this combination is of a preparatory or auxiliary

(5) Notwithstanding the provisions of paragraphs 1, 2 and 3, where a person – other than an agent of an independent status to whom paragraph 6 applies – is acting in a Contracting State on behalf of an enterprise of the other Contracting State, that enterprise shall be deemed to have a permanent establishment in the first-mentioned Contracting State in respect of any activities which that person undertakes for the enterprise, if such a person:

a) has, and habitually exercises in that State an authority to conclude contracts in the name of the enterprise, unless the activities of such person are limited to those mentioned in paragraph 4 which, if exercised through a fixed place of business, would not make this fixed place of business a permanent establishment under the provisions of that paragraph; or

b) has no such authority, but habitually maintains in the first-mentioned State a stock of goods or merchandise from which he delivers goods or merchandise on behalf of the enterprise.

(6) An enterprise shall not be deemed to have a permanent establishment in a Contracting State merely because it carries on business in that State through a broker, general commission agent or any other agent of an independent status, provided that such persons are acting in the ordinary course of their business and no conditions are made or imposed between them in their commercial and financial relations, which differ from those usually agreed between independent persons.

(7) The fact that a company which is a resident of a Contracting State controls or is controlled by a company which is a resident of the other Contracting State or which carries on business in that other State (whether through a permanent establishment or otherwise), shall not of itself constitute either company a permanent establishment of the other.

Article 6
Income from Immovable Property

(1) Income derived by a resident of a Contracting State from immovable property (including income from agriculture or forestry) situated in the other Contracting State may be taxed in that other State.

(2) The term “immovable property” shall have the meaning which it has under the law of the Contracting State in which the property in question is situated. The term shall in any case include property accessory to immovable property, livestock and equipment used in agriculture (including the breeding and cultivation of fish) and forestry, rights to which the provisions of general law respecting landed property apply. Usufruct of immovable property and rights to variable or fixed payments as consideration for the working of, or the right to work, mineral deposits, sources and other natural resources shall also be considered as “immovable property”. Ships and aircraft shall not be regarded as immovable property.

(3) The provisions of paragraph 1 shall apply to income derived from the direct use, letting, or use in any other form of immovable property.

(4) The provisions of paragraphs 1 and 3 shall also apply to the income from immovable property of an enterprise and to income from immovable property used for the performance of independent personal services.

Article 7
Business Profits

(1) The profits of an enterprise of a Contracting State shall be taxable only in that State unless the enterprise carries on business in the other Contracting State through a permanent establishment situated therein. If the enterprise carries on business as aforesaid, the profits of the enterprise may be taxed in the other State but only so much of them as is attributable to that permanent establishment.

(2) Subject to the provisions of paragraph 3 of this Article, where an enterprise of a Contracting State carries on business in the other Contracting State through a permanent establishment situated therein, there shall in each Contracting State be attributed to that permanent establishment the profits which it might be expected to make if it were a distinct and separate enterprise engaged in the same or similar activities under the same or similar conditions and dealing wholly independently with the enterprise of which it is a permanent establishment.

(3) In determining the profits of a permanent establishment, there shall be allowed as deductions expenses which are incurred for the purposes of the business of the permanent establishment, including executive and general administrative expenses so incurred, whether in the State in which the permanent establishment is situated or elsewhere.

(4) Insofar as it has been customary in a Contracting State to determine the profits to be attributed to a permanent establishment on the basis of an apportionment of the total profits of the enterprise to its various parts, nothing in paragraph 2 shall preclude that Contracting State from determining the profits to be taxed by such an apportionment as may be customary. The method of apportionment adopted shall, however, be such that the result shall be in accordance with the principles contained in this Article.

(5) No profits shall be attributed to a permanent establishment by reason of the mere purchase by that permanent establishment of goods or merchandise for the enterprise.

(6) For the purposes of the preceding paragraphs of this Article, the profits to be attributed to the permanent establishment shall be determined by the same method year by year unless there is good and sufficient reason to the contrary.

(7) This Article shall also apply to income from participation in a partnership. It shall further apply to remuneration received by a partner from the partnership for activities in the service of the partnership and for the granting of loans or the provision of assets, where such remuneration is attributable under the tax law of the Contracting State in which the permanent establishment is situated to the income derived by a partner from that permanent establishment.

(8) Where profits include items of income which are dealt with separately in other Articles of this Agreement, then the provisions of those Articles shall not be affected by the provisions of this Article.

Article 8
Shipping and Air Transport

(1) Profits of an enterprise of a Contracting State from the operation of ships or aircraft in international traffic shall be taxable only in that Contracting State.

(2) For the purposes of this Article, the term “profits from the operation of ships or aircraft in international traffic” shall include profits from

a) the occasional rental of ships or aircraft on a bare-boat basis; and

b) the use or rental of containers (including trailers and ancillary equipment used for transporting the containers), if these activities pertain to the operation of ships or aircraft in International traffic.

(3) For the purposes of this Article, interest on funds directly connected with the operation of ships or aircraft in international traffic shall be regarded as profits derived from the operation of such ships or aircraft, and the provisions of Article 11 shall not apply in relation to such interest.

(4) The provisions of this Article shall also apply to profits from the participation in a pool, a joint business or an international operating agency.

Article 9
Associated Enterprises

(1) Where

a) an enterprise of a Contracting State participates directly or indirectly in the management, control or capital of an enterprise of the other Contracting State, or

b) the same persons participate directly or indirectly in the management, control or capital of an enterprise of a Contracting State and an enterprise of the other Contracting State, and in either case conditions are made or imposed between the two enterprises in their commercial or financial relations which differ from those which would be made between independent enterprises, then any profits which would, but for those conditions, have accrued to one of the enterprises, but, by reason of those conditions, have not so accrued, may be included in the profits of that enterprise and taxed

(2) Where a Contracting State includes in the profits of an enterprise of that State – and taxes accordingly – profits on which an enterprise of the other Contracting State has been charged to tax in that other State and the profits so included are profits which would have accrued to the enterprise of the first-mentioned State if the conditions made between the two enterprises had been those which would have been made between independent enterprises, then that other State shall make an appropriate adjustment to the amount of the tax charged therein on those profits. In determining such adjustment, due regard shall be had to the other provisions of this Agreement and the competent authorities of the Contracting States shall, if necessary, consult each other.

Article 10
Dividends

(1) Dividends paid by a company which is a resident of a Contracting State to a resident of the other Contracting State may be taxed in that other State.

(2) However, such dividends may also be taxed in the Contracting State of which the company paying the dividends is a resident and according to the laws of that State, but if the beneficial owner of the dividends is a resident of the other Contracting State, the tax so charged shall not exceed:

a) five (5) per cent of the gross amount of the dividends if the beneficial owner is a company which holds directly at least ten (10) per cent of the capital of the company paying the dividends;

b) ten (10) per cent of the gross amount of the dividends in all other cases;

c) notwithstanding the provisions of sub-paragraphs (a) and (b), fifteen (15) per cent of the gross amount of the dividends if the distributing company is a real estate investment company that is tax-exempt regarding all or parts of its profits or that can deduct the distributions in determining its profits.

This paragraph shall not affect the taxation of the company in respect of the profits out of which the dividends are paid.

(3) The term “dividends” as used in this Article means Income from shares, “jouissance” shares or “jouissance” rights, mining shares, founders’ shares or other income which is subjected to the same taxation treatment as income from shares by the laws of the State of which the company making the distribution is a resident and distributions on certificates of an investment fund or investment trust.

(4) The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the dividends, being a resident of a Contracting State, carries on business in the other Contracting State of which the company paying the dividends is a resident, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the holding in respect of which the dividends are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article14, as the case may be, shall apply.

(5) Where a company which is a resident of a Contracting State derives profits or income from the other Contracting State, that other State may not impose any tax on the dividends paid by the company, except insofar as such dividends are paid to a resident of that other State or insofar as the holding in respect of which the dividends are paid is effectively connected with a permanent establishment or a fixed base situated in that other State, nor subject the company’s undistributed profits to a tax on the company’s undistributed profits, even if the dividends paid or the undistributed profits consist wholly or partly of profits or income arising in such other State.

Article 11
Interest

(1) Interest arising in a Contracting State and paid to a resident of the other Contracting State shall be taxable only in that other State if such resident is the beneficial owner of the interest and is subject to tax in respect of the interest in that other Contracting State.

(2) The term “interest” as used in this Article means income from debt-claims of every kind, whether or not secured by mortgage, and in particular, income from government securities and income from bonds or debentures, including premiums and prizes attaching to such securities, bonds or debentures. Penalty charges for late payment shall not be regarded as interest for the
purpose of this Article.

(3) The provisions of paragraph 1 shall not apply if the beneficial owner of the interest, being a resident of a Contracting State, carries on business in the other Contracting State in which the interest arises, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the debt-claim in respect of which the interest is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

(4) Interest shall be deemed to arise in a Contracting State when the payer is that State itself, a “Land”, a political subdivision, a local authority or a resident of that State. Where, however, the person paying the interest, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the indebtedness on which the interest is paid was incurred, and such interest is borne by such permanent establishment or fixed base, then such interest shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

(5) Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the interest, having regard to the debt-claim for which it is paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount of interest. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Agreement.

Article 12
Royalties

(1) Royalties arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

(2) However, such royalties may also be taxed in the Contracting State in which they arise and according to the laws of that State, but if the beneficial owner of the royalties is a resident of the other Contracting State, the tax so charged shall not exceed eight (8) per cent of the gross amount of the royalties.

(3) The term “royalties” as used in this Article means payments of any kind received as a consideration for the use of, or the right to use, any copyright of literary, artistic or scientific work including cinematograph films, any patent, trade mark, design or model, plan, secret formula or process, or for the use of, or the right to use, industrial, commercial or scientific equipment, or for information concerning industrial, commercial or scientific experience. The term “royalties” shall also include payments of any kind for the use or the right to use a person’s name, picture or any other similar personality rights and on payments received as consideration for the registration of entertainers’ or sportsmen’s performances by radio or television.

(4) The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the royalties, being a resident of a Contracting State, carries on business in the other Contracting State in which the royalties arise, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the royalties are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

(5) Royalties shall be deemed to arise in a Contracting State when the payer is that State itself, a “Land”, a political subdivision, a local authority or a resident of that State. Where, however, the person paying the royalties, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or fixed base in connection with which the liability to pay the royalties was incurred, and such royalties are borne by such permanent establishment or fixed base, then such royalties shall be deemed to arise in the Contracting State in which the permanent establishment or fixed base is situated.

(6) Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the royalties, having regard to the use, right or information for which they are paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount of royalties. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Agreement.

Article 13
Capital Gains

(1) Gains derived by a resident of a Contracting State from the alienation of immovable property referred to in Article 6 and situated in the other Contracting State may be taxed in that other State.

(2) Gains from the alienation of movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or of movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, including such gains from the alienation of such a permanent establishment (alone or with the whole enterprise) or of such fixed base, may be taxed in that other State.

(3) Gains derived by a resident of a Contracting State from the alienation of ships or aircraft operated in international traffic, or movable property pertaining to the operation of such ships or aircraft, shall be taxable only in that Contracting State.

(4) Gains from the alienation of any property other than that referred to in paragraphs 1 to 3, shall be taxable only in the Contracting State of which the alienator is a resident.

Article 14
Independent Personal Services

(1) Income derived by an individual who is a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State unless he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities. If he has such a fixed base, the income may be taxed in the other State but only so much of it as is attributable to that fixed base.

(2) The term “professional services” includes especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, dentists, lawyers, engineers, architects and accountants.

Article 15
Dependent Personal Services

(1) Subject to the provisions of Articles 16 to 19 of this Agreement, salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment shall be taxable only in that State unless the employment is exercised in the other Contracting State. If the employment is so exercised, such remuneration as is derived therefrom may be taxed in that other State.

(2) Notwithstanding the provisions of paragraph 1, remuneration derived by a resident of a Contracting State in respect of an employment exercised in the other Contracting State shall be taxable only in the first-mentioned State if:

a) the recipient is present in the other State for a period or periods not exceeding in the aggregate 183 days in any twelve month period commencing or ending in the fiscal year concerned, and

b) the remuneration is paid by, or on behalf of, an employer who is not a resident of the other State, and

c) the remuneration is not borne by a permanent establishment or a fixed base which the employer has in the other State.

(3) Notwithstanding the preceding provisions of this Article, remuneration derived in respect of an employment exercised aboard a ship or aircraft operated in international traffic, may be taxed in the Contracting State of which the enterprise operating the ship or aircraft is a resident.

Article 16
Directors’ Fees

Directors’ fees and other similar payments derived by a resident of a Contracting State in his capacity as a member of the board of directors of a company which is a resident of the other Contracting State may be taxed in that other State.

Article 17
Artistes and Sportsmen

(1) Notwithstanding the provisions of Articles 7, 14 and 15, income derived by a resident of a Contracting State as an entertainer, such as a theatre, motion picture, radio or television artiste, or a musician, or as a sportsman, from his personal activities as such exercised in the other Contracting State, may be taxed in that other State.

(2) Where income in respect of personal activities exercised by an entertainer or a sportsman in his capacity as such accrues not to the entertainer or sportsman himself but to another person, that income may, notwithstanding the provisions of Articles 7, 14 and 15, be taxed in the Contracting State in which the activities of the entertainer or sportsman are exercised.

(3) Paragraphs 1 and 2 shall not apply to income accruing from the exercise of activities by artistes or sportsmen in a Contracting State where the visit to that State is financed entirely or mainly from public funds of the other State, a “Land”, a political subdivision or a local authority or by an organisation which in that other State is recognised as a charitable organisation. In such a case the income may be taxed only in the Contracting State of which the individual is a resident.

Article 18
Pensions, Annuities and Similar Payments

(1) Subject to the provisions of paragraph 2 of Article 19, pensions and similar payments or annuities paid to a resident of a Contracting State from the other Contracting State shall only be taxable in the first-mentioned State.

(2) Notwithstanding the provisions of paragraph 1, payments received by an individual being a resident of a Contracting State from the statutory social insurance of the other Contracting State shall be taxable only in that other State.

(3) The term “annuities” means certain amounts payable periodically at stated times, for life or for a specified or ascertainable period of time, under an obligation to make the payments in return for adequate and full consideration in money or money’s worth.

Article 19
Government Service

(1)

a) Salaries, wages and other similar remuneration, other than a pension, paid by a Contracting State, a “Land”, a political subdivision or a local authority or some other legal entity under public law of that State to an individual in respect of services rendered to that State, “Land”, political subdivision or local authority or any other legal entity under public law shall be taxable only in that State.

b) However, such salaries, wages and other similar remuneration shall be taxable only in the other Contracting State if the services are rendered in that State and if the individual is a resident of that State and

i. is a national of that State or

ii. did not become a resident of that State solely for the purpose of rendering the services.

(2)

a) Any pension paid by, or out of funds created by, a Contracting State, a “Land”, a political subdivision or a local authority or any other legal entity under public law of that State to an individual in respect of services rendered to that State, “Land”, political subdivision or local authority or any other legal entity under public law shall be taxable only in that State.

b) However, such pension shall be taxable only in the other Contracting State if the individual is a resident of, and a national of, that State.

(3) The provisions of Articles 15, 16, 17 or 18 of this Agreement shall apply to salaries, wages and other similar remuneration, and to pensions in respect of services rendered in connection with a business carried on by a Contracting State, a “Land”, a political subdivision or a local authority or any other legal entity under public law of that State.

(4) The provisions of paragraph 1 shall likewise apply in respect of remuneration paid, under a development assistance programme of a Contracting State, a “Land”, a political subdivision or a local authority, out of funds exclusively supplied by that State, “Land”, political subdivision or local authority, to a specialist or volunteer seconded to the other Contracting State with the consent of that other State.

Article 20
Visiting Professors, Teachers and Students

(1) An individual who visits a Contracting State at the invitation of that State or of approved universities, colleges, schools, museums or other cultural institutions of that State or under an official programme of cultural exchange for a period not exceeding two years solely for the purpose of teaching, giving lectures or carrying out research at such institution and who is, or was immediately before that visit, a resident of the other Contracting State shall be exempt from tax in the first-mentioned State on his remuneration for such activity, provided that such remuneration is derived by him from sources outside that State.

(2) Payments which a student or business apprentice who is or was immediately before visiting a Contracting State a resident of the other Contracting State and who is present in the first-mentioned State solely for the purpose of his education or training receives for the purpose of his maintenance, education or training shall not be taxed in that State, provided that such payments arise from sources outside that State.

Article 21
Other Income

(1) Items of Income of a resident of a Contracting State, wherever arising, not dealt with in the foregoing Articles of this Agreement shall be taxable only in that State.

(2) The provisions of paragraph 1 shall not apply to income, other than income from immovable property as defined in paragraph 2 of Article 6, if the recipient of such income, being a resident of a Contracting State, carries on business in the other Contracting State through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the income is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article14, as the case may be, shall apply.

Article 22
Capital

(1) Capital represented by immovable property referred to in Article 6, owned by a resident of a Contracting State and situated in the other Contracting State, may be taxed in that other State.

(2) Capital represented by movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or by movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, may be taxed in that other State.

(3) Capital represented by ships and aircraft operated by a resident of a Contracting State in international traffic, and by movable property pertaining to the operation of such ships and aircraft, shall be taxable only in that State.

(4) All other elements of capital of a resident of a Contracting State shall be taxable only in that State.

Article 23
Elimination of Double Taxation

(1) Tax shall be determined in the case of a resident of the Federal Republic of Germany as follows:

a) Unless foreign tax credit is to be allowed under sub-paragraph (b), there shall be exempted from the assessment basis of the German tax any item of income arising in the Sultanate of Oman and any item of capital situated within the Sultanate of Oman which, according to this Agreement, may be taxed in the Sultanate of
In the case of items of income from dividends the preceding provision shall apply only to such dividends as are paid to a company (not including partnerships) being a resident of the Federal Republic of Germany by a company being a resident of the Sultanate of Oman at least ten (10) per cent of the capital of which is owned directly by the German company and which were not deducted when determining the profits of the company distributing these dividends.
There shall be exempted from the assessment basis of the taxes on capital any shareholding the dividends of which if paid, would be exempted, according to the foregoing sentences.

b) Subject to the provisions of German tax law regarding credit for foreign tax, there shall be allowed as a credit against German tax on income payable in respect of the following items of income the Omani tax paid under the laws of the Sultanate of Oman and in accordance with this Agreement:

i. dividends not dealt with in sub-paragraph (a) including dividends described in subparagraph (c) of paragraph 2 of Article 10;

ii. royalties;

iii. directors’ fees;

iv. items of income in the meaning of Article 17.

c) The provisions of sub-paragraph (b) shall apply instead of the provisions of sub-paragraph (a) to items of income as defined in Articles 7 and 10 and to the assets from which such income is derived if the resident of the Federal Republic of Germany does not prove that the gross income of the permanent establishment in the business year in which the profit has been realised or of the company resident in the Sultanate of Oman in the business year for which the dividends were paid was derived exclusively or almost exclusively from activities within the meaning of nos. 1 to 6 of paragraph 1 of section 8 of the German Law on External Tax Relations (Aussensteuergesetz); the same shall apply to immovable property used by a permanent establishment and to income from this immovable property of the permanent establishment (paragraph 4 of Article 6) and to profits from the alienation of such immovable property (paragraph 1 of Article 13) and of the movable property forming part of the business property of the permanent establishment (paragraph 2 of Article 13).

d) The Federal Republic of Germany, however, retains the right to take into account in the determination of its rate of tax the items of income and capital, which are under the provisions of this Agreement exempted from Germany tax.

e) Notwithstanding the provisions of sub-paragraph (a) double taxation shall be avoided by allowing a tax credit as laid down in sub-paragraph (b).

i. if in the Contracting States items of income or capital are placed under different provisions of this Agreement or attributed to different persons (except pursuant to Article 9) and this conflict cannot be settled by a procedure m accordance with Article 25, and if as a result of this difference in placement or attribution the relevant income or capital would remain untaxed or be taxed lower than without this conflict; or

ii. if after due consultation with the competent authority of the Sultanate of Oman the Federal Republic of Germany notifies the Sultanate of Oman through diplomatic channels of other items of income to which it intends to apply the provisions of sub-paragraph (b). Double Taxation is then avoided for the notified income by allowing a tax credit from the first day of the calendar year in which the notification was made.

(2) In the Sultanate of Oman double taxation shall be avoided as follows:
Where a resident of the Sultanate of Oman derives income which, in accordance with the provisions of this Agreement, may be taxed in the Federal Republic of Germany, the Sultanate of Oman shall allow as a deduction from the tax on the income of that resident an amount equal to the income tax paid in the Federal Republic of Germany, whether directly or by deduction. Such deduction shall not, however, exceed that part of the income tax (as computed before the deduction is given) which is attributable to the income which may be taxed in the Federal Republic of Germany.

Article 24
Non-discrimination

(1) Nationals of a Contracting State shall not be subjected in the other Contracting State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which nationals of that other State in the same circumstances, especially with respect to residence, are or may be subjected.

(2) Stateless persons who are residents of a Contracting State shall not be subjected in either Contracting State to any taxation or any requirement connected therewith, which is other or more burdensome than the taxation and connected requirements to which nationals of the State concerned in the same circumstances are or may be subjected.

(3) The taxation on a permanent establishment which an enterprise of a Contracting State has in the other Contracting State shall not be less favourably levied in that other State than the taxation levied on enterprises of that other State carrying on the same activities. This provision shall not be construed as obliging a Contracting State to grant to residents of the other Contracting State any personal allowances, reliefs and reductions for taxation purposes which it grants only to its own residents.

(4) Except where the provisions of paragraph 1 of Article 9, paragraph 5 of Article 11, or paragraph 6 of Article 12, apply, interest, royalties and other disbursements paid by an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable profits of such enterprise, be deductible under the same conditions as if they had been paid to a resident of the first-mentioned State. Similarly, any debts of an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable capital of such enterprise, be deductible under the same conditions as if they had been contracted to a resident of the first-mentioned State.

(5) Enterprises of a Contracting State, the capital of which is wholly or partly owned or controlled, directly or indirectly, by one or more residents of the other Contracting State, shall not be subjected in the first-mentioned State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which other similar enterprises of the first-mentioned State are or may be subjected.

(6) The provisions of this Article shall apply to the taxes covered by this Agreement.

Article 25
Mutual Agreement Procedure

(1) Where a person considers that the actions of one or both of the Contracting States result or will result for him in taxation not in accordance with the provisions of this Agreement, he may, irrespective of the remedies provided by the domestic law of those States, present his case to the competent authority of the Contracting State of which he is a resident or, if his case comes under paragraph 1 of Article 24, to that of the Contracting State of which he is a national. The case must be presented within three years from the first notification of the action resulting in taxation not in accordance with the provisions of the Agreement.

(2) The competent authority shall endeavour, if the objection appears to it to be justified and if it is not itself able to arrive at a satisfactory solution, to resolve the case by mutual agreement with the competent authority of the other Contracting State, with a view to the avoidance of taxation which is not in accordance with the Agreement. Any agreement reached shall be implemented notwithstanding any time limits in the domestic law of the Contracting States.

(3) The competent authorities of the Contracting States shall endeavour to resolve by mutual agreement any difficulties or doubts arising as to the interpretation or application of the Agreement. They may also consult together for the avoidance of double taxation in cases not provided for in the Agreement.

(4) The competent authorities of the Contracting States may communicate with each other directly, including through a joint commission consisting of themselves or their representatives, for the purpose of reaching an agreement in the sense of the preceding paragraphs.

Article 26
Exchange of Information

(1) The competent authorities of the Contracting States shall exchange such information as is necessary for carrying out the provisions of this Agreement or of the domestic laws of the Contracting States concerning taxes covered by this Agreement insofar as the taxation thereunder is not contrary to the Agreement as well as to prevent fiscal evasion. The exchange of information is not restricted by Article 1.

(2) Any information received by a Contracting State shall be treated as secret in the same manner as information obtained under the domestic laws of that State and shall be disclosed only to persons or authorities (including courts and administrative bodies) concerned with the assessment or collection of, the enforcement or prosecution in respect of, or the determination of appeals in relation to, the taxes covered by the Agreement. Such persons or authorities shall use the information only for such purposes. They may disclose the information in public court proceedings or in judicial decisions.

(3) In no case shall the provisions of paragraph 1 be construed so as to impose on a Contracting State the obligation:

a) to carry out administrative measures at variance with the laws and administrative practice of that or of the other Contracting State;

b) to supply information which is not obtainable under the laws or in the normal course of the administration of that or of the other Contracting State;

c) to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process, or information, the disclosure of which would be contrary to public policy (ordre public).

(4) If information is requested by a Contracting State in accordance with this Article, the other Contracting State shall use its information gathering measures to obtain the requested information, even though that other State may not need such information for its own tax purposes. The obligation contained in the preceding sentence is subject to the limitations of paragraph 3 but in no case shall such limitations be construed to permit a Contracting State to decline to supply information solely because it has no domestic interest in such information.

(5) In no case shall the provisions of paragraph 3 be construed to permit a Contracting State to decline to supply information solely because the information is held by a bank, other financial institution, nominee or person acting in an agency or a fiduciary capacity or because it relates to ownership interests in a person. These information shall be exchanged by the Contracting States in accordance with this Article irrespective of the procedures required by the domestic laws of the Contracting States concerning banks or other financial institutions.

Article 27
Procedural Rules for Taxation at Source

(1) If in one of the Contracting States the taxes on dividends, interest, royalties or other items of income derived by a person who is a resident of the other Contracting State are levied by withholding at source, the right of the first-mentioned State to apply the withholding of tax at the rate provided under its domestic law shall not be affected by the provisions of this Agreement. The tax withheld at source shall be refunded on application by the taxpayer if and to the extent that it is reduced by this Agreement or ceases to apply.

(2) Refund applications must be submitted within four years from the end of the calendar year in which the withholding tax was applied to the dividends, interest, royalties or other items of income irrespective of the time limits provided for in the domestic law of each Contracting State.

(3) Notwithstanding paragraph 1, each Contracting State shall provide for procedures to the effect that payments of income subject under this Agreement to no tax or only to reduced tax in the State of source may be made without deduction of tax or with deduction of tax only at the rate provided in the relevant Article.

(4) The Contracting State in which the items of income arise may ask for a certificate by the competent authority on the residence in the other Contracting State.

Article 28
Application of the Agreement in Special Cases

(1) This Agreement shall not be interpreted to mean that a Contracting State is prevented from applying its domestic legal provisions on the prevention of tax evasion or tax avoidance.

(2) If the provisions of paragraph 1 result in double taxation, the competent authorities shall consult each other pursuant to Article 25 on how to avoid double taxation.

Article 29
Members of Diplomatic Missions and Consular Officers

(1) Nothing in this Agreement shall affect the fiscal privileges of members of diplomatic missions or consular officers under the general rules of international law or under the provisions of special agreements.

(2) Notwithstanding the provisions of Article 4, an individual who is a member of a diplomatic mission or a consular officer of a Contracting State which is situated in the other Contracting State or in a third State shall be deemed for the purposes of this Agreement to be a resident of the sending State if:

a) in accordance with international law he is not liable to tax in the receiving State in respect of income from sources outside that State or on capital situated outside that State, and

b) he is liable in the sending State to the same obligations in relation to tax on his total income or on capital as are residents of that State.

Article 30
Protocol

The attached Protocol shall be an integral part of this Agreement.

Article 31
Entry into Force

(1) This Agreement shall be ratified and the instruments of ratification shall be exchanged as soon as possible.

(2) The present Agreement shall enter into force one month from the date of the exchange of instruments of ratification.

(3) The provisions of this Agreement shall have effect:

a) in the case of taxes withheld at source, in respect of amounts paid on or after the first day of January of the calendar year next following that in which the Agreement entered into force;

b) in the case of other taxes, in respect of taxes levied for taxable years beginning on or after the first day of January of the calendar year next following that in which the Agreement entered into force;

c) insofar as they are related to international traffic (Articles 1, 2, 3, 4, 8, paragraph 3 of Article 13, paragraph 3 of Article 15, paragraph 3 of Article 22, Articles 23, 24 and 25) in respect to taxes charged or chargeable for the taxation year 1985 and subsequent taxation years.

Article 32
Termination

This Agreement shall remain in force for an unlimited period but either of the Contracting States may, on or before the thirtieth day of June in any calendar year beginning after the expiration of a period of five years from the date of its entry into force, give the other Contracting State, through diplomatic channels, written notice of termination and, in such event, this Agreement shall cease to have effect:

a) in the case of taxes withheld at source, in respect of amounts paid on or after the first day of January of the calendar year next following that in which notice of termination is given;

b) in the case of other taxes, in respect of taxes levied for taxable years beginning on or after the first day of January of the calendar year next following that in which notice of termination is given

In witness whereof, the undersigned, duly authorised thereto, have signed this Agreement.

Done at Muscat on 26 / 9 / 1433AH, corresponding to 15 / 8 / 2012, in two originals, each in the Arabic, German and English languages, all three texts being authentic. In the case of divergent interpretation of the Arabic and the German texts, the English text shall prevail.

Protocol to the Agreement between the Sultanate of Oman and the Federal Republic of Germany for the Avoidance of Double Taxation with respect to Taxes on Income and on Capital

On signing the Agreement between the Sultanate of Oman and the Federal Republic of Germany for the Avoidance of Double Taxation with respect to Taxes on Income and on Capital, the Federal Republic of Germany and the Sultanate of Oman, have in addition agreed on the following provisions of the Protocol which shall form an integral part of the said Agreement:

With reference to Article 2:

The term “tax” shall not include any amount which is payable in respect of any default or omission in relation to the taxes to which this Agreement applies or which represents a penalty imposed relating to those taxes.

With reference to Article 4:

The State General Reserve Fund of the Sultanate of Oman, which is beneficially owned and controlled by the Sultanate of Oman, will be a resident of the Sultanate of Oman for the purposes of the Agreement.

With reference to Article 7:

a) Where an enterprise of a Contracting State carries on business in the other Contracting State through a permanent establishment situated therein, the profits of that permanent establishment shall be determined on the basis of and to the extent of the actual activity carried on by that permanent establishment. Likewise, in the case of contracts for works or services executed, the profits of the permanent establishment shall be determined on the basis of that part of the contract, which is actually carried out by that permanent

b) Profits derived by the head office from the supply of goods to the permanent establishment or from carrying out the part of the contract in the Contracting State in which the head office of the enterprise is situated shall be taxable only in that State. Such profits shall be determined on the basis of arm’s length principle.

c) In respect of paragraph 3 of Article 7, no deduction shall be allowed in respect of amounts paid or charged (otherwise than towards reimbursement of actual expenses) by the permanent establishment to the head office of the enterprise or any of its other offices, by way of:

i. royalties, fees or other similar payments in return for the use of patents or other rights;

ii. commission, for specific services performed or for management; and

iii. interest on moneys lent to the permanent establishment, except in the case of a banking enterprise.

With reference to Articles 7 and 14:

Payments received as a consideration for technical services, including studies or surveys of a scientific, geological or technical nature, or for engineering contracts including blue prints related thereto, or for consultancy or supervisory services shall be deemed to be payments to which the provisions of Article 7 or Article 14 of the Agreement apply.

With reference to Articles 10 and 11:

Notwithstanding the provisions of Articles 10 and 11 of this Agreement, dividends and interest may be taxed in the Contracting States in which they arise, and according to the laws of that State, if they are:

a) derived from rights or debt-claims carrying a right to participate in profits, including income derived by a silent partner (“stiller Gesellschafter”) from his participation as such, or from a loan with an interest rate linked to borrower’s profit (“partiarisches Darlehen”) or from profit sharing bonds (“Gewinnobligationen”) within the meaning of the tax law of the Federal Republic of Germany; and

b) deductible in the determination of profits of the debtor of such income.

With reference to Article 18:

Notwithstanding the provisions of paragraph 1 of Article 18, recurrent or non-recurrent payments made by the Federal Republic of Germany, a “Land”, a political subdivision or a local authority to a person resident in the Sultanate of Oman as compensation for political persecution or for a damage sustained as a result of war (including restitution payments) or of military or civil alternative service or of a crime, vaccination or a similar event shall be taxable only in the Federal Republic of Germany.

With reference to Article 19:

The provisions of paragraphs 1 and 2 of Article 19 shall likewise apply in respect of remuneration paid by or for the Goethe Institute or the German Academic Exchange Service (“Deutscher Akademischer Austauschdienst”) of the Federal Republic of Germany. Corresponding treatment of the remuneration of other comparable institutions of the Contracting States may be arranged by the competent authorities by mutual agreement. If such remuneration is not taxed in the State where the institution was founded, the provisions of Article 15 shall apply.

With reference to Article 26:

If in accordance with domestic law personal data are exchanged under this Agreement, the following additional provisions shall apply subject to the legal provisions in effect for each Contracting State:

a) The receiving agency may use such data only for the stated purpose and shall be subject to the conditions prescribed by the supplying

b) The receiving agency shall on request inform the supplying agency about the use of the supplied data and the results achieved thereby.

c) Personal data may be supplied only to the responsible agencies. Any subsequent supply to other agencies may be effected only with the prior approval of the supplying agency.

d) The supplying agency shall be obliged to ensure that the data to be supplied are accurate and that they are necessary for and
proportionate to the purpose for which they are supplied. Any bans on data supply prescribed under applicable domestic law shall be If it emerges that inaccurate data or data which should not have been supplied have been supplied, the receiving agency shall be informed of this without delay. That agency shall be obliged to correct or erase such data.

e) Upon application the person concerned shall be informed of the supplied data relating to him and of the use to which such data are to be put. There shall be no obligation to furnish this information if on balance it turns out that the public interest in withholding it outweighs the interest of the person concerned in receiving it. In all other respects, the right of the person concerned to be informed of the existing data relating to him shall be governed by the domestic law of the Contracting State in whose sovereign territory the application for the information is made.

f) The receiving agency shall bear liability in accordance with its
domestic laws in relation to any person suffering unlawful damage as a result of supply under the exchange of data pursuant to this

g) If the domestic law of the supplying agency provided for special provisions for the erasion of the personal data supplied, that agency shall inform the receiving agency accordingly. Irrespective of such law, supplied personal data shall be erased once they are no longer required for the purpose for which they were supplied.

h) The supplying and the receiving agencies shall be obliged to keep official records of the supply and receipt of personal data.

i) The supplying and the receiving agencies shall be obliged to take effective measures to protect the personal data supplied against unauthorised access, unauthorised alteration and unauthorised disclosure.
