بعد الاطلاع على المرسوم السلطاني رقم ٢٦ / ٧٥ بإصدار قانون تنظيم الجهاز الإداري للدولة وتعديلاته،
وعلى المرسوم السلطاني رقم ٤٢ / ٧٤ بإصدار قانون النفط والمعادن،
وعلى المرسوم السلطاني رقم ٣٧ / ٧٦ بالتصديق على اتفاقية البترول الخاصة بالتنقيب عن النفط في المنطقة البحرية لجزيرة مسندم المبرمة بين حكومة سلطنة عمان ومجموعة شركات ألف والموقعة بتاريخ ٢٣ سبتمبر سنة ١٩٧٦،
وعلى المرسوم السلطاني رقم ١٣ / ٧٨ بإجازة تنازل الشركات المذكورة عن جزء من حصتها لشركة جلف مسندم للبترول المحدودة Gulf Musandam Petroleum،
وعلى المرسوم السلطاني رقم ١٠٣ / ٨١ بإجازة التنازل الصادر من مجموعة ألف وجلف مسندم للبترول المحدودة عن جزء من حصتهم لشركة ونترشال أ.ج،
وعلى عقد الاتفاقية المشار إليها،
وعلى التنازل الصادر من شركتي الف اكيتان عمان وجلف مسندم للبترول المحدودة بتاريخ ١٩ / ٣ / ١٩٨٢ عن حصة شائعة قدرها ١٥٪ من كافة حقوقهما والتزاماتهما في الاتفاقية المشار إليها إلى مؤسسة النفط والاستثمارات لما وراء البحار المسجلة بتايوانOverseas Petroleum and Investment Corporation (OPIC)،
وعلى قبول المؤسسة المذكورة لهذا التنازل،
وبناء على ما تقتضيه المصلحة العامة.

مادة ١
إجازة التنازل الصادر من شركة الف اكيتان عمان عن ٨,٠٦٪ من حقوقها والتزاماتها في عقد اتفاقية البترول المشار إليها لمؤسسة النفط والاستثمارات لما وراء البحار (أو.بي.أي.سي) وتنازل شركة جلف مسندم للبترول المحدودة عن ٦,٩٤٪ من حقوقها والتزاماتها في العقد المشار إليه لمؤسسة النفط والاستثمارات لما وراء البحار (أو.بي.أي.سي) لتصبح الحصص النهائية للشركات المكونة للمجموعة على النحو التالي:

| ١٥٪ | مؤسسة استثمارات النفط لما وراء البحار. |

وتسري على هذا التنازل أحكام المادة (٢١) من الاتفاقية.
مادة ٢
التصديق على تعديل نص المادة ٦ – ٢ من اتفاقية البترول المبرمة بين حكومة السلطنة ومجموعة شركات الف بتاريخ ٢٣ / ٩ / ١٩٧٦م، والمعدلة بموجب المرسوم السلطاني رقم ١٣ / ٧٨ والمرسوم السلطاني رقم ١٠٣ / ٨١ المشار إليهما ليصبح كالآتي:
6.2 The Elf Group shall conduct its operations under this Agreement pursuant to the general policy guidance and under the general supervision and control of a Management Committee. It is the intent of the parties that the Committee, while acting pursuant to this Agreement, shall always endeavour to amicably arrive at mutually acceptable policies and decisions which are based on sound principles of prudent oilfield practice.
The Management Committee shall consist of seven (7) members, one of the Government’s members being the Chairman thereof. The Elf Group shall appoint four (4) members of the Management Committee and the Government shall appoint three (3) members. After the Discovery Date, the composition of the Management Committee shall change so as to consist of nine (9) members, five (5) members thereof being appointed by the Government and four (4) members by the Elf Group.
The Management Committee shall be established as soon as practicable after this Agreement is signed and shall reach its decisions by a majority of votes cast at meetings held according to the rules and procedures attached hereto as Exhibit B and as may be amended by such Management Committee. Notwithstanding the foregoing, on and after Discovery Date, the Management Committee shall reach its decisions by unanimous vote of the members present on (1) approval of the Budget, (2) approval of the Work Programme and execution thereof, (3) the determination of Allowable production, (4) the rules and procedures of the Management Committee set forth in Exhibit B thereof, and (5) any modifications of, or matters relating to the foregoing. The Elf Group shall call the first meeting of the Management Committee by giving fifteen (15) days advance notice to each party. In the event a matter is submitted to the Management Committee and a decision is not reached by the applicable vote after the matter is submitted during two different meeting of such committee, such as matter may be submitted to arbitration by either party as provided in Article 24 hereof.
